Neal, Gerber & Eisenberg LLP is a mid-sized Chicago Loop law firm seeking a Senior Venture Capital Paralegal who will report to assigned Attorneys and the Director of Human Resources. PRINCIPLE DUTIES AND RESPONSIBILITIES: Process foreign qualification filings to do business in other states Assist with incorporation and LLC formation in Delaware, Federal Employer Identification Numbers (FEINs), restricted stock purchase agreements, and invention assignment agreements for service providers Manage annual report preparation and filing (i.e., Delaware and other states), including online payment of franchise taxes Support angel and venture capital financings: SAFEs, convertible notes, series schedules of exceptions, closing certificates and other ancillary documents; signature page collection and assembly of closing volumes; amendments and extensions Update Board meeting minutes and Board and stockholder actions for option awards, financings, appointment of officers, election of directors and other common startup transactions; 228(e) notices File Form ID, Form D and related SEC processes; coordinate state NASAA filings Prepare and confirm capitalization tables in Excel and Carta Prepare and update transaction checklists based starting with standard form Send documents for signature via DocuSign or by emailing PDF signature packets QUALIFICATIONS: Must have a high school diploma or General Educational Development credential (GED); Bachelor’s degree preferred Must have 4+ years of previous paralegal experience in Venture Capital Familiarity with Delaware Secretary of State processes (using CSC, CT or other filing agents Proficiency with PC operating systems and office support software, including MS Office products; iManage filing system Communicates with courtesy and tact, follow instructions and works with a diverse group of attorneys, secretaries, and staff Detail-oriented with strong organizational and interpersonal skills; strong prioritizing skills Works well within a team; willing to work with other paralegals, attorneys, and secretaries in the group and within the secretarial neighborhood Displays high level of initiative and accommodation Takes ownership of work and is accountable for work produced Adheres to confidentiality standards Works with minimum supervision Must be flexible and dependable Willingness to work overtime Must display professional business decorum in manner and dress Ability to sit for long periods of time Ability to stand for a length of time at a photocopier Ability to bend, reach, twist, life and push while sitting or standing PREFERRED QUALIFICATIONS: Knowledge of state Blue Sky Laws Knowledge of 83(b) election; experience following up to ensure timely filing Paralegal experience with Mergers & Acquisitions Ability to notarize documents; attend document signing to act as a witness (if not as notary) and maintain log as needed Knowledge of and competency with using public securities Expertise in creating Excel models for the conversion of SAFEs, convertible notes, and for calculation of purchase price in preferred stock financings PHYSICAL DEMANDS AND WORK ENVIRONMENT: The physical demands and work environment characteristics described here are representative of those that must be met by an employee to successfully perform the essential functions of the job.
