<div id="jobDescriptionText" class="jobsearch-jobDescriptionText" dir="ltr"><div> <h2 class="jobSectionHeader"><b>Poste et missions</b></h2> <div> <br> Natixis CIB Americas is looking for a VP-level attorney to join the New York Legal Department to provide support to the Structured Finance Hedging team, for the negotiation of derivative (and other market) documentation in connection with the bank’s financing activities. Matters will include standard master agreement negotiations as well as secured derivative transactions. Knowledge of applicable regulatory regimes (Dodd Frank and EMIR) as relate to master agreements and experience in negotiating with Latin American counterparties and project finance transactions is ideal. He/she/they will join a small legal team covering global markets and derivatives transactions (8 people), which is part of a 24-person legal team covering the Americas. </div> <p>The salary range for this position will be between $150,000 - $210,000. Natixis is required by law to include a reasonable estimate of the compensation range for this role. Actual base salary will vary and will be based on several factors including, but not limited to, relevant experience, education, skills set, applicable licensure and certifications, and other business and organizational needs. Base salary is only one component of our total rewards package. Natixis also offers a generous benefits package, and you may be eligible for a discretionary incentive award depending on company and individual performance.</p> <p><b>Responsibilities include but not limited too:</b></p> <p>The attorney will be responsible within the New York Legal Department for providing advice and coverage for the structured finance hedging team as well as other global market desks, focusing primarily on the negotiation of “secured derivatives” market documentation for the desk. The primary areas of responsibility will be:</p> <ul> <li>Negotiate market documentation on behalf of Natixis CIB Americas, including ISDA Master Agreements Repurchase Agreements, Securities Lending Agreements and other standard market agreements; Review loan documentation as it relates to derivatives transactions</li> <li>Coordinate with Front Office, Client Management/Onboarding, Compliance and the Credit Department in the negotiation of market documentation</li> <li>Coordinate with Head Office Legal and Collateral Management to ensure a standardized approach to the negotiation of market documentation, including following and updating NY law legal guidelines</li> <li>Work with various capital markets desks to coordinate the negotiation of market documentation</li> <li>Negotiation of master confirmation agreements; long form confirmations and deal contingent transactions</li> <li>Work with Senior Derivatives Counsel on contributions for the New Product Committee (including cross border analysis)</li> <li>Participate on various projects and initiatives related to regulatory requirements for derivatives transactions</li> <li>Work with external counsel, as necessary and appropriate</li> <li>Specific knowledge of regulations for derivatives (CFTC, SEC, EMIR) is strongly preferred</li> <li>Specific knowledge of interest rate, commodity, credit and/or equity derivatives and confirmations related thereto would be helpful</li> <li>Experience with negotiating with LATAM and fund counterparties is a plus</li> <li>Experience with project finance transactions is a plus</li> <li>Experience with negotiation of non-disclosure agreements (NDAs) would be helpful</li> </ul> <br> <div></div> <p><b>Qualifications:</b></p> <ul> <li>At least 4 years of experience at a law firm covering derivatives transactions or a large financial institution as a document negotiator or counsel</li> <li>Solid verbal and interpersonal skills a must. Skillful written communication is necessary; the ability to convey thoughts clearly and succinctly and to communicate pertinent complex information in a clear and organized manner</li> <li>Strong analytical and organizational skills</li> <li>The ability to manage multiple priorities, working under pressure to meet deadlines, and the ability to respond creatively and quickly in a fast-pace and changing environment</li> <li>Self-motivated with the ability to work independently while understanding when to involve other team members as needed and to work effectively in a team environment</li> <li>High degree of integrity and strong work ethic</li> <li>Timely follow through on commitments</li> <li>Promote best practices within department as execute assigned duties and enhance control over procedures</li> <li>Specific knowledge of interest rate, commodity, credit and/or equity derivatives and confirmations accordingly</li> <li>Knowledge of Spanish or French is ideal but not required.</li> </ul> <br> <br> <div></div> <h2 class="jobSectionHeader"><b>Profil et compétences requises</b></h2> <div> <br> JD or LLM <br> 2+ years of experience at a law firm covering derivatives transactions or a large financial institution as a document negotiator or counsel <br> Effective verbal and interpersonal skills.
