<div id="jobDescriptionText" class="jobsearch-jobDescriptionText jobsearch-JobComponent-description css-1x2lix0 eu4oa1w0"><div> <div> <div> <p>VLS is hiring a Counsel to play a key role in the Company’s legal department, providing legal counsel and support across all aspects of our business operations. This position will report directly to the General Counsel and Head of ESG and will work closely with the Company’s senior leadership and field/operations personnel to support VLS’s growth plans and manage legal and compliance risks.</p> <p></p> <p><b><br> Key Responsibilities</b></p> <ul> <li><b> Legal Counsel</b><b>: </b>Provide legal advice, guidance and support on a wide range of corporate, commercial, regulatory, and risk management matters to each of VLS’s business units—including, but not limited to, contracts, corporate governance, M&amp;A, capital projects, litigation, employment law and corporate policies/procedures.</li> </ul> <p></p> <ul> <li><b><br> Corporate Governance</b><b>: </b>Assist in maintaining and updating corporate records, ensuring compliance with governing documents and investor requirements, drafting and managing board of director minutes and written consents, and advising on corporate governance matters.</li> </ul> <p></p> <ul> <li><b><br> Mergers and Acquisitions</b>: Support due diligence efforts, draft and review M&amp;A agreements, and provide legal guidance in support of strategic transactions.</li> </ul> <p></p> <ul> <li><b><br> Contracts</b><b>: </b>Draft, review and negotiate a wide variety of contracts, such as preliminary M&amp;A agreement (e.g., LOIs, IOIs, NDAs), customer and vendor agreements, EPC agreements, financing agreements, joint venture and other investment agreements.</li> </ul> <p></p> <ul> <li><b><br> Compliance and Policy Development</b><b>: </b>Play a key role in developing and implementing VLS compliance programs, including through the drafting of policies and procedures, implementation of training, and providing internal advocacy for compliance matters.</li> </ul> <p></p> <ul> <li><b><br> Management of External Resources</b>: Manage legal expenses effectively by supervising law firms and other external legal resources.</li> </ul> <p></p> <ul> <li><b><br> Risk Management</b><b>: </b>Support VLS’s company-wide risk management function, including insurance, and environmental, health and safety compliance.</li> </ul> <p></p> <ul> <li><b><br> Litigation and Dispute Management</b><b>: </b>Manage litigation and other legal dispute matters, including collaboration with external counsel in managing disputes, claims and legal and regulatory proceedings involving VLS.</li> </ul> </div> <p></p> <div> <div> <br> Requirements </div> <br> <p></p> <ul> <li> Juris Doctor (JD) degree and active Texas state bar membership.</li> <li> At least 3 years legal experience, either in a law firm or in-house role</li> <li> Strong knowledge of corporate law and experience with transaction negotiation and management;</li> <li> Exceptional negotiation, communication and interpersonal skills</li> <li> Detail oriented and analytical problem solver</li> <li> Enthusiasm and strong work ethic</li> <li> Business acumen and ability to align legal strategies with the company’s business objectives</li> </ul> </div> </div> </div></div>
