Requires Juris Doctor or Master of Laws (LL.M.), or foreign equivalent. Requires admission to the New York state bar. Requires at least three (3) years of experience working as an associate within the Corporate, Capital Markets, or Investments Funds practice group of a global law firm. Prior experience must include: Assisting private funds sponsors with advice on structuring investment funds and the ongoing operation of private investment vehicles; Reviewing and evaluating offering materials to ensure fund offerings comply with federal securities laws; Supporting transactional matters by developing legal advice for investors on regulatory compliance regarding deal structures and related fees and preparing financing documents; Preparing and negotiating legal documents for U.S. and international capital markets transactions including initial public offerings (IPOs), high yield debt offerings, investment grade offerings, restructurings and consent solicitations; Advising on SEC examinations and enforcement actions; and Researching and preparing memoranda on securities regulatory compliance with respect to registration under the Investment Advisers Act, related exemptions and adviser rules under SEC regulations.
