<div id="jobDescriptionText" class="jobsearch-jobDescriptionText"><p></p> <div> <p>Cheniere is seeking an experienced tax attorney to be a key member of the Tax Legal section of its legal department. The Counsel/Senior Counsel will work as a core member of the team with responsibility for providing legal support throughout the organization pertaining to federal, state, and international taxes. The Counsel/Senior Counsel will provide legal advice for tax considerations arising in connection with the development, construction, and operation of projects. The Counsel/Senior Counsel will be expected to deliver timely and quality legal services with minimal supervision; manage outside legal resources effectively and develop strong relationships in a hard-working, fast-moving, and ever-changing business environment. The Counsel/Senior Counsel will be forward-thinking and front-facing to internal clients and external stakeholders, including elected officials and government agencies.<br> </p> <p></p> <p><b>RESPONSIBILITIES AND ESSENTIAL DUTIES </b></p> <ul> <li>Draft, review, negotiate and interpret tax clauses in a variety of commercial agreements, including, but not limited to services agreements, sales and purchase agreements, common terms agreements, construction agreements, and financial agreements. </li> <li>Identify, negotiate, secure, and maintain applicable tax exemptions and incentives and satisfy all compliance reporting. </li> <li>Participate in audit defense for tax controversies. </li> <li>Review proposed and enacted tax legislation and regulations and propose comments or responses where appropriate. </li> <li>Provide operational support concerning Foreign Trade Zones, including planning, formation, operations, boundary modifications, compliance and import classifications. </li> <li>Coordinate and collaborate across various departments as necessary in connection with projects, including, but not limited to corporate development, government affairs, supply chain, tax, accounting, and finance. </li> <li>Provide project management leadership ensuring projects are executed timely and consistent with business objectives, while effectively balancing priorities of various internal and external stakeholders. </li> <li>Handle corporate governance and compliance, such as preparing resolutions, bylaws, articles, and other materials required for tax planning. </li> <li>Support Tax Legal initiatives and manage outside counsel and/or consultants as appropriate and manage other day-to-day tasks and projects as necessary. </li> <li>Be available outside of normal working hours as needed for business necessity. </li> <li>The duties and responsibilities described are not a comprehensive list and additional tasks may be assigned to the employee from time to time; or the scope of the job may change as necessitated by business demands.<br> </li> </ul> <p></p> <p><b>KNOWLEDGE AND SKILLS: </b></p> <p><b>Knowledge: </b></p> <p>The Counsel/Senior Counsel will have experience in a large, sophisticated law firm or Big Four equivalent, in-house legal department, or government agency with a broad tax background providing demonstrated experience and understanding of tax policy and planning, tax controversies, transactional taxes, negotiated incentives, legislative and regulatory procedures.<br> </p> <p></p> <p><b>Skills: </b></p> <ul> <li>Strong interpersonal skills and the ability to interact effectively with all levels within the organization, including senior management. </li> <li>Sound judgment with ability to think critically, solve problems, exercise excellent judgment, and manage multiple time-sensitive matters simultaneously in a fast-paced environment. </li> <li>Exceptional oral and written communication and legal research skills. </li> <li>Highly organized and detail oriented. </li> <li>Well-grounded, preferring to work in a collegial and team environment. </li> <li>Strong business acumen coupled with exceptional analytical skills. </li> <li>Ability to work with and manage outside counsel effectively. </li> <li>Self-starter. </li> <li>Impeccable ethics. </li> <li>Ability to manage autonomously multiple matters and work streams and take initiative as opportunity presents. </li> <li>Strong follow-through and ability to consistently meet deadlines.<br> </li> </ul> <p></p> <p><b>EDUCATION AND EXPERIENCE </b></p> <p><b>Education, Training </b><b>and Certifications </b>: Bachelor’s and JD degree with strong academic credentials.<br> </p> <p></p> <p><b>Experience </b>: </p> <p>Counsel will have Three to Five years of legal experience, and Senior Counsel will have Six plus (6+) years of legal experience with a focus on tax. Law firm, In-house legal department, or governmental agency will be strongly considered.
