Participates in the BILH and department level contract review activities. The OGC enables BILH to meet its strategic and operational goals by ensuring legal and regulatory compliance. <p></p> <p><b> Job Description:</b></p> <p><b> Primary Responsibilities:</b></p> <p> 1.Review and provide legal counsel on contracts submitted to BILH's contract management system. (essential) </p> <p></p> <p>2. Working with colleagues in the OGC and Compliance and ensures compliance with BILH's Contract Management policy. (essential)</p> <p></p> <p> 3. Draft, review, revise and negotiate general and sophisticated commercial and health care agreements, including IT, licensing, services, consulting, supply, confidentiality, pharmacy, research, and data-related agreements as well as addenda/amendments and statements of work. (essential) </p> <p></p> <p>4. Provide legal support across the organization, including quickly and effectively identifying complex legal issues raised by other business units, researching new legal issues, and providing advice in a manner that integrates legal risk management with BILH's objectives. (essential)</p> <p></p> <p> 5. Develop and maintain strong business relationships across BILH and contributing to cross-functional or departmental projects and teams. (essential)</p> <p></p> <p> 6. Assist with the development of policies and procedures and standard template language to be used in contracts. (essential) </p> <p></p> <p>7. Assist the OGC and Compliance teams with a variety of legal matters, including general corporate, compliance, research, regulatory and other legal matters relevant to BILH's operations. (essential)</p> <p></p> <p> 8. Support the organization in maintaining work environment focused on quality and that fosters learning, respect, open communication, collaboration, integration and teamwork. (essential) </p> <p></p> <p>9. Other duties as assigned consistent with experienced contract attorney. (essential)</p> <p></p> <p><b> Required Qualifications:</b></p> <p> 1. Doctoral degree in Juris Doctor required.</p> <p> 2. Hold a current license to practice law and be in good standing in the Commonwealth of Massachusetts.</p> <p> 3. 3-5 years related work experience required in legal contract review across large organization.</p> <p> 4. Significant experience drafting, reviewing and negotiating general commercial agreements, including licensing, services, IT, consulting, and data-related agreements is required, and experience with complex licensing and services agreements. Some experience with health care and research contracts required. Strong legal research and analytical skills required.</p> <p> 5. Experience with computer systems required, including web based applications and some Microsoft Office applications which may include Outlook, Word, Excel, PowerPoint or Access.</p> <p></p> <p><b> Competencies:</b></p> <p><b> Decision Making:</b><b> </b>Ability to make decisions that are guided by precedents, policies and objectives. Manager/Director provides broad guidance and overall direction.</p> <p></p> <p><b> Written Communications:</b> Ability to summarize and communicate in English moderately complex information in varied written formats to internal and external customers.</p> <p></p> <p><b> Oral Communications:</b> Ability to comprehend and communicate complex verbal information in English to medical center staff, patients, families and external customers.</p> <p></p> <p><b> Knowledge:</b> Ability to demonstrate in-depth knowledge of concepts, practices and policies with the ability to use them in complex varied situations.</p> <p></p> <p><b> Team Work:</b> Ability to work collaboratively in small teams to improve the operations of immediate work group by offering ideas, identifying issues, and respecting team members.</p> <p></p> <p><b> Customer Service:</b> Ability to provide a high level of customer service and staff training to meet customer service standards and expectations for the assigned unit(s). Resolves service issues in the assigned unit(s) in a timely and respectful manner.</p> <p></p> <p><b> Social/Environmental Requirements:</b></p> <p> Work requires close attention to task for work to be accurately completed. Intermittent breaks during the work day do not compromise the work.</p> <p></p> <p> Work is varied every day and the employee needs to be adaptable to respond to these changes and use independent judgment and manage priorities.</p> <p></p> <p> No substantial exposure to adverse environmental conditions</p> <p></p> <p><b> Health Care Status:</b> NHCW: No patient contact.-<i> </i><i>Health Care Worker Status may vary by department</i></p> <p><b> Sensory Requirements:</b></p> <p> Close work (paperwork, visual examination), Color vision/perception, Visual monotony, Visual clarity &gt; 20 feet, Visual clarity &lt;3 feet, Conversation, Telephone.</p> <p><b> Physical Requirements:</b></p> <p> Sedentary work: Exerting up to 10 pounds of force occasionally in carrying, lifting, pushing, pulling objects.
