We are seeking an attorney to get to know our existing securities client base and help to continue to build our securities and capital markets practice. There is an opportunity for the right candidate to assume the leadership of the securities practice in the next few years as our current practice leader looks toward retirement. The ideal candidate will have strong technical, client management and leadership skills. Experience Preparation and review of 1934 Act filings, including Forms 10-K, 10-Q, 8-K, proxy and information statements, Section 16 filings and Section 13 filings. Public company counseling on corporate governance, board and committee practices, insider trading policies, Regulation FD, stock exchange compliance (NYSE/Nasdaq), and shareholder engagement. Transactional support on M&A involving public companies, including proxy/registration statements, tender offer documentation and related disclosures. Private company capitalization and pre‑IPO readiness. Public and private securities offerings, including IPOs, follow-on offerings, ATMs, registered direct offerings, PIPEs, and Rule 144A/Regulation S transactions, from term sheet through closing. Coordination of due diligence, comfort processes, blue sky/FINRA matters and closing mechanics. Direct client interaction, including advising executives and boards and developing practical solutions to complex regulatory questions. Requirements 6–12 years of relevant experience with a focus on securities and capital markets. Experience in a large law firm setting or other sophisticated securities practice. Demonstrated ability to work and communicate directly with clients, including executives and boards. Experience managing and training junior attorneys and paralegals. A desire to work in a fast-paced, collaborative team environment that is on a growth trajectory. Active J.D. license in Illinois or another state; Illinois admission or ability to waive in is preferred. Demonstrated business development aptitude and interest in growing client relationships. Experience leading teams of lawyers and/or paralegals. Portable book of business not required, but would be a plus. Location and Work Arrangement Chicago area as primary work area preferred, but will consider candidates in other locations. Hybrid work arrangements available.
