Description
Corporate Finance Paralegal Levenfeld Pearlstein is seeking a paralegal to support its Finance and Restructuring Group. LP’s Finance and Restructuring Group represents both borrowers and lenders. Our lawyers provide day-to-day general counseling to help clients understand and solve complex legal, tax, business, finance and lending issues at every stage of representation. The ideal candidate for this position will have experience with commercial finance transactions, excellent communication and technical skills and thrive in a team environment, while still possessing independence, initiative and drive. Responsibilities: Supports financial and business transactions, including: Assist with Organization of records and documents. Diligence activities (e.g., establishing and maintaining virtual data sites for transactions, preparing closing documents and coordinating items for closing and post-closing requirements) Reviewing and monitoring transaction checklists to confirm pertinent open issues are addressed Coordinating closing activities Review of Governance documents Drafts transactional documents including, ancillary agreements, allonges and other documents in connection with loan documents, resolutions and certificates. Order and analyze UCC and related searches; prepare and file UCC Financing Statements Prepares and files IRS documents Oversees preparation of electronic closing binders Effectively utilizes the firm’s docketing system to track matters Communicates with clients and third parties throughout the course of a matter Requirements: Bachelor’s Degree or Paralegal Certificate Minimum 5-7 years of relevant experience (will consider less experience for otherwise qualified candidate) Superior oral and written communication skills Strong technical skills Excellent attention to detail Excellent time management skills and ability to adjust to changing project priorities in a fast-paced and deadline-driven environment Experience with drafting corporate documents Experience preparing and organizing closing documents Experience with title and survey review a plus A demonstrated commitment to providing superior client service Must be able to work occasional overtime as needed and thrive in a team environment
