SUMMARY/JOB PURPOSE: Exelixis is seeking a Corporate Counsel to join the Legal Department’s contracting team, reporting to the Senior Corporate Counsel, Contracts. This person will be an integral member of the Legal Department and will have the opportunity to operate independently in a dynamic environment to support the growing contracting needs of Exelixis. You will support and work collaboratively with the General &amp; Administrative (G&amp;A) departments across the organization. This role will focus on IT, Information Security, and Facilities related matters and will involve supporting other G&amp;A functions as needed. ESSENTIAL DUTIES AND RESPONSIBILITIES: <ul> <li> Draft, revise, negotiate and manage a wide range of contracts, which may include, but are not limited to, NDAs, master services agreements, consulting/professional services agreements, task orders/work orders/statements of work, software license agreements, cloud computing agreements, data processing agreements, amendments, change orders and various other IT and Facilities related vendor agreements. </li> <li> Advise and troubleshoot on existing agreements. </li> <li> Identify risks and be able to communicate those risks to appropriate internal decision-makers for discussion and resolution. </li> <li> Liaise with various internal clients effectively to address legal and business questions. </li> <li> Ensure contracts accurately convey business terms while protecting Exelixis’ interests. </li> <li> Advise contracts managers on complex negotiations. </li> <li> Ensure continuity and improvement in the quality, efficiency, and effectiveness of contracting systems, processes, and procedures. </li> <li> Support the ongoing development of templates and playbooks in your area of support in collaboration with other Legal Department team members. </li> </ul> EDUCATION/EXPERIENCE/KNOWLEDGE &amp; SKILLS: Education/Experience: <ul> <li>BS/BA degree, preferably in life sciences or a related field.</li> <li>JD degree required and must be admitted to practice, preferably in California.</li> <li>Experience/The Ideal for Successful Entry into Job:</li> </ul> Five to seven years of transactional experience as an attorney in a law firm or in-house legal environment. Knowledge/Skills: <ul> <li>Possesses executive presence and ability to interact comfortably with executives and senior management, clear and concise verbal and written communication skills, and must have excellent interpersonal communication skills.</li> <li>Ability to implement organizational or team objectives.</li> <li>Ability to develop creative technical and/or business solutions for complex problems and implement organizational or team objectives.</li> <li>Must be efficient, detail-oriented, and have strong organizational skills.</li> <li>Ability to handle multiple tasks simultaneously and with the ability to re-prioritize on short time frames.</li> <li>Acts responsibly and conscientiously.</li> <li>Works under pressure to meet specific deadlines.</li> <li>Works independently and in a team environment.</li> <li>Dedicated to quality, reliability, and highest professional standards in all work tasks.</li> <li>Must be a self-starter and quick learner.</li> <li>Must have good judgment.</li> <li>Requires strong computer skills (e.g., Microsoft Office Suite (Word, Excel, PowerPoint, Document Comparison programs, etc.).</li> </ul> WORKING CONDITIONS: <ul> <li> Environment: primarily working indoors, performing desk work. </li> <li> Infrequent travel may be required. </li> </ul> #LI-HG1 If you like wild growth and working with happy, enthusiastic over-achievers, you'll enjoy your career with us! Our compensation reflects the cost of labor across several U.S. geographic markets, and we pay differently based on those defined markets. The base pay range for this position is $188,000 - $268,000 annually. The base pay range may take into account the candidate’s geographic region, which will adjust the pay depending on the specific work location. The base pay offered will take into account the candidate’s geographic region, job-related knowledge, skills, experience and internal equity, among other factors. In addition to the base salary, as part of our Total Rewards program, Exelixis offers comprehensive employee benefits package, including a 401k plan with generous company contributions, group medical, dental and vision coverage, life and disability insurance, and flexible spending accounts. Employees are also eligible for a discretionary annual bonus program, or if field sales staff, a sales-based incentive plan. Exelixis also offers employees the opportunity to purchase company stock, and receive long-term incentives, 15 accrued vacation days in their first year, 17 paid holidays including a company-wide winter shutdown in December, and up to 10 sick days throughout the calendar year.
