For over 20 years, BCV has helped launch and commercialize more than 400 companies including Attentive, Bloomreach, Clari, Docusign, Flywire, LinkedIn, Moveworks, Rapid7, and Redis. </div> <div></div> <div> POSITION OVERVIEW </div> <div> The Legal Affairs Associate will provide legal support for venture capital financing transactions in addition to a variety of other legal matters. This role will have critical transaction management responsibilities and presents a successful candidate with the opportunity to become an integral member of the operations team. </div> <div></div> <div> KEY RESPONSIBILITIES </div> <div> Responsible for the following tasks: </div> <ul> <li> Work closely with internal legal team and external legal advisors on a full range of legal issues.</li> <li> Coordinate transaction closings, including document preparation, signature collection and ownership of the closing process.</li> <li> Redline, review and process legal documents.</li> <li> Maintain legal and corporate records for the investment adviser, affiliated funds and related portfolio companies.</li> <li> Oversee corporate entity management – manage formations, dissolutions, name changes and structure chart updates.</li> <li> Assist with the KYC process – completion of forms, structure charts, document collection, notarization, apostilling and responding to follow up questions from counterparties.</li> <li> May be requested to perform other duties not mentioned above.</li> </ul> <div></div> <div> GENERAL QUALIFICATIONS </div> <ul> <li> Bachelor’s Degree from a top undergraduate program with a strong academic background.</li> <li> At least two (2) years of business or legal experience at a major law firm, company or investment firm. Experience coordinating venture capital financings is highly desirable.</li> <li> Diplomatic interpersonal skills to interact with the internal business and legal teams, portfolio companies and external law firms.</li> <li> Excellent oral and written communication, project management and organizational skills.</li> <li> Maniacal attention to detail with the ability to manage and prioritize multiple projects.</li> <li> Self-starter with a strong sense of ownership and follow-through skills and the initiative and confidence to take responsibility for decisions on time-sensitive matters.</li> <li> Creative problem-solving ability and sound judgment.</li> <li> Rock-solid discretion and capacity to handle highly confidential and sensitive information.</li> </ul> </div></div>
