<div id="jobDescriptionText" class="jobsearch-jobDescriptionText"><div> <div> RaceTrac Company Overview </div> <div></div> <div> Job Description: </div> <div> The Corporate Counsel – Commercial Transactions is responsible for managing all facets of the contract creation, review and negotiation process for various agreements related to software, technology and intellectual property licensing, non-disclosure, procurement, supply, fuel sales, general services, and various other commercial and technology-related agreements. This individual will interact and collaborate with internal clients and stakeholders throughout all levels and capacities across the organization. </div> <div></div> <div> This position requires a business-oriented, flexible individual who will impact nearly all aspects of our organization’s highly diverse business units and needs on a consistent basis. Additionally, the position will require an individual that is attentive to and effectively manages the “customer experience” for relevant internal stakeholders. The individual who fills the role will have the opportunity to engage with many types of contracts, transactions, and business needs, as well as develop deep knowledge of all aspects of the organization’s business. The position will demand an individual that feels comfortable taking ownership of a wide variety of projects and regularly negotiating types of transactions with which the individual may not be deeply experienced. </div> <div></div> <div> This is a unique opportunity for a motivated, competent transactional attorney to have an influential role at a tight-knit, growing company and impact the overall organization across business units and at all levels. </div> <div></div> <div> Responsibilities: </div> <ul> <li> Draft, review, negotiate, and efficiently close business contracts to support diverse business objectives;</li> <li> Lead and collaborate throughout contracting processes by analyzing significant business, financial and legal risks;</li> <li> Develop and communicate creative solutions and mitigation strategies for key negotiation points;</li> <li> Advise and train internal departments on contractual issues and assist internal clients in articulating business needs in contact terms;</li> <li> Provide strong partnership and establish and maintain relationships with internal customers;</li> <li> Support continuous improvement of form agreements;</li> <li> Promote continual development, optimization and implementation of contracts processes and standards; and</li> <li> Work with and manage outside counsel, including reviewing and managing work performance and spend.</li> </ul> <div></div> <div> Qualifications: </div> <ul> <li> Bachelor’s degree from an accredited university or college required;</li> <li> Law Degree from an accredited college or university required;</li> <li> BAR Exam Licensed to practice law in Georgia required;</li> <li> At least 3 years of proven contract negotiation, drafting, and review experience;</li> <li> Experience with technology-related contracts is strongly preferred, but not absolutely essential for the correct candidate;</li> <li> Ability to read and interpret legal language and mitigate risk and “translate” relevant contract terms and provisions into business concepts which are easily understood by internal clients; and</li> <li> Strong Microsoft Word and PowerPoint skills are necessary.</li> <li> Possesses the ability, confidence, and desire to take ownership of all phases of the deal cycle for various types of contracts with minimum oversight.</li> </ul> </div></div>
