Description
Supervise junior associates in preparing due diligence memos, reviewing subscription documents, marketing materials and other documents related to distribution deals and fund formation for banks and private equity funds. Draft placement agent agreements, limited partnership agreements, private placement memorandums and/or side letters in relation to distribution deals for banks, fundraises or GP-led secondaries for private equity and venture capital firms. Advise banks and investment management firms on limited partnership agreement comments per due diligence review and draft side letters. Advise private equity clients on day-to-day fund operations. Review fund documents. Draft fund summaries and issues lists for banks or investment management firms conducting due diligence on prospective funds. Review marketing materials of fund sponsors in relation to distribution deals for banks. Oversee closing and post-closing process of distribution deals for banks and fundraises for private equity and venture capital firms. Requirements: Juris Doctor (J.D.) or Master of Laws (LL.M.) and two (2) years of experience in the position offered or as an Associate Attorney at an international law firm with an annual revenue in excess of $1 billion. All of the required experience must have included experience with: reviewing and analyzing information in fund documents; preparing concise summaries for reports such as legal due diligence reports and comment memos; advising private equity clients on day-to-day operations; drafting placement agent agreements, LPAs, PPMs, side letters and governing documents; reviewing marketing materials of fund sponsors in relation to distribution deals for banks; creating and keeping deadlines for fund formation projects; overseeing closing and post-closing process of distribution deals for banks and fundraises for private equity and venture capital firms; drafting fund documents and reviewing marketing materials for continuation funds; and drafting key term sheet, LPA and side letter for co-invest vehicles. Must be admitted to NY bar. This role entails hybrid work, with time split between working in our New York City office and flexibility to telecommute from another U.S. location.
