<div id="jobDescriptionText" class="jobsearch-jobDescriptionText jobsearch-JobComponent-description css-1x2lix0 eu4oa1w0"><div> <p>Required: The successful candidate must possess each of the following:</p> <ul> <li>A Juris Doctorate granted by an ABA accredited law school</li> <li>Admission to and good standing in the State Bar of Minnesota or eligibility for prompt admission</li> <li>Highest level of integrity and professionalism</li> <li>An ability to independently manage and prioritize work</li> <li>Excellent written and oral communication skills</li> <li>A minimum of four years’ experience as a lawyer advising clients on business transactions</li> </ul> <p> Desirable: </p> <ul> <li>Experience in higher education, advising institutions of higher education, or as an in-house attorney</li> <li>Knowledge and expertise in a broad array of practice areas including significant experience drafting and negotiating complex business agreements</li> <li>Strong analytical and interpersonal skills and cross-cultural competencies</li> <li>Having worked collegially and professionally in a diverse environment with peers, subordinates, and clients</li> </ul> <p> Associate or Senior Associate General Counsel</p> <p> The Office of the General Counsel (OGC) is seeking a skilled, client-focused and experienced lawyer with excellent academic credentials to advise and represent academic departments and business units in complex business transactions. The title under which the successful candidate will initially serve will depend on years of relevant experience. </p> <p>The successful candidate must be able to prioritize multiple competing priorities and communicate effectively with colleagues and clients. Significant drafting and negotiation experience is a requirement, and experience working in an in-house environment will be strongly considered. The candidate will be expected to handle contracting matters and transactions from beginning to end with minimal supervision, participate in team-wide process improvement initiatives, and provide advice and guidance on complex legal matters to University leadership and departments.</p> <p> The following are examples of matters on which the lawyer holding this position may be asked to provide advice:</p> <ul> <li>Complex commercial contracts and transactions </li> <li>Regulatory compliance (employee benefits, privacy, higher education)</li> <li>Higher Education program agreements (affiliation and internship agreements)</li> <li>Agreements to purchase or sell goods or services, agreements governing large gifts, and</li> <li>Development of internal University policies and practices</li> </ul> <p> The position is professional/administrative, 12-month, full-time, with health, dental, disability, retirement, tuition assistance (employee only) and other employer-provided benefits. This position will report to the General Counsel and the Director of the Transactions Group and will be resident in OGC’s Minneapolis office.</p> <p> OGC comprises 18 attorneys and six paralegals. OGC attorneys provide advice in all but a few transactional law areas. In particular, OGC business attorneys advise on health care law, sponsored research regulations and agreements, technology transfer policies and agreements; regulatory compliance, intellectual property, public finance, investments and securities, governance, purchasing and sales of goods and services, international transactions and programs, and real estate leases, purchases and sales.
