<div id="jobDescriptionText" class="jobsearch-jobDescriptionText"><div> <div> Job Description: </div> <div></div> <div> Job Overview: </div> <div> <br> As an Executive Vice President of Hilco Merchant Resources (HMR), your primary function will be split between (i) transaction level and general legal services in respect of HMR and its subsidiary businesses, including retail, wholesale, technology, FF&amp;E, lending and investment, and (ii) businesses business development and “deal making” for all of HMR’s businesses. “Deal making” is a role that requires leadership and an understanding of all facets of HMR’s business, including operations, finance, capital planning (aka analytics), legal, and advertising and marketing. </div> <div></div> <div> Duties: </div> <div> <br> Legal </div> <ul> <li> <div> Provide day-to-day legal support to the HMR businesses, including (i) fielding general legal inquiries from business personnel, (ii) reviewing and revising contracts, (iii) preparing, reviewing and revising term sheets, and overseeing and assisting with transaction related documents (as detailed more below) </div></li> <li> <div> Become familiar with HMR’s core template legal documents, update as necessary or appropriate, and maintain and expand the template library as appropriate </div></li> <li> <div> Leverage Hilco in-house counsel and outside counsel where necessary or appropriate to assist with the foregoing </div></li> </ul> <div></div> <div> Transactions </div> <ul> <li> <div> Structure and close transactions, including transactions sourced by you and other business development personnel and dealmakers. </div></li> <li> <div> Draft, review, revise, and finalize transaction documents for all HMR and its subsidiaries transactions, including, if appropriate, working with and managing outside counsel. Transaction documents include agency agreements, asset purchase agreements, credit agreements, term sheets, proposals, purchase orders, services agreements, consulting agreements, and all ancillary and related documents. See transactions through to closing and stay involved, as necessary or appropriate, post-closing until the transaction is complete. </div></li> <li> <div> Participate in model review and due diligence meetings to ascertain critical transaction terms and conditions and align transaction documents. </div></li> <li> <div> Review and provide comments to investment memorandum and, if requested, participate in investment committee meetings. </div></li> <li> <div> Remain involved with transactions to ensure execution of transactions and deals in tandem with the transaction documents and models. </div></li> <li> <div> Participate in auctions and attend bankruptcy court hearings to approve HMR transactions, including negotiating with parties in interest (such as, but not limited to, secured lenders, the U.S. Trustee and landlords). </div></li> <li> <div> Work and coordinate with other Hilco OpCos are multi-OpCo transactions, including in some circumstances taking the lead in terms of documenting and closing the multi-OpCo transaction. </div></li> </ul> <div></div> <div> Business Development </div> <div></div> <ul> <li> <div> Ensure existing clients and relationships are effectively maintained. </div></li> <li> <div> Maintain ongoing relationships with current and potential clients to develop future business opportunities. </div></li> <li> <div> Develop, maintain and expand relationships with new clients and target clients. </div></li> <li> <div> Leverage junior team members, prepare and complete presentations and pitch materials for client meetings, and deliver presentations and pitches. </div></li> <li> <div> Source opportunities and lead client pitches and meetings and, where necessary or appropriate, partner with other HMR team members in connection with such pitches and meetings. </div></li> <li> <div> Participate in weekly pipeline, bi-weekly business development meetings, and other internal transaction related meetings. </div></li> <li> <div> Attend business development conferences and events approved by HMR in advance. </div></li> </ul> <div></div> <div> Other </div> <ul> <li> <div> Focus on learning HMR’s various businesses by regularly asking to and participating in meetings, conferences, team workshops, conference calls, etc. </div></li> <li> <div> Represent HMR with the highest integrity. </div></li> <li> <div> Perform other duties as outlined by the President. </div></li> </ul> <div></div> <div> Key Competencies: </div> <ul> <li> <div> 5+ years of corporate restructuring/bankruptcy experience as an attorney with experience in structuring loans, workouts, and distressed M&amp;A transactions a plus. Must be “commercial” in assessing and addressing legal issues, sift through what matters and what doesn’t, and drive transactions forward to closing. </div></li> <li> <div> Strong desire and willingness to learn and develop a deep understanding HMR’s businesses. Retail, wholesale, manufacturing, import/export, and technology knowledge a plus. </div></li> <li> <div> Strong writing and analytical skills needed to structure and analyze transactional data, quickly identify opportunities or problems and work with team members to implement solutions </div></li> <li> <div> Excels in fast-paced environment and able to juggle multiple complex transactions involving different subject-matter simultaneously. </div></li> <li> <div> Business development experience a plus </div></li> <li> <div> Passion to exceed expectations </div></li> <li> <div> Strong organizational and communication skills </div></li> <li> <div> Excellent interpersonal skills </div></li> <li> <div> Excellent judgement and decision-making ability </div></li> <li> <div> Builds trusted relationships with senior leadership and all HMR employees </div></li> <li> <div> J.D. from accredited US law school and active admission in good standing to the bar of one of the 50 United States required. Ability to obtain Illinois limited in house license required. </div></li> </ul> <div></div> <div> Keys to Success: </div> <div> <br> Learn the business by: </div> <ul> <li> <div> Regularly participating in weekly deal team meetings/calls on Mondays to gain a better understanding of (i) how HMR operates transactions, (ii) issues that come up and proposed solutions, and (iii) key members of HMR’s operational and field teams. </div></li> <li> <div> Regularly participate in due diligence meetings/calls to gain a better understanding of (i) how HMR’s team conducts due diligence, (ii) how HMR’s field diligence and analytics overlap, and (iii) how HMR values inventory. </div></li> <li> <div> Regularly participating in model review meetings. </div></li> <li> <div> Periodically scheduling working time with each department to gain a better understanding of how the department (Capital Planning, Operations, Marketing and Advertising, Legal, etc.) functions in a liquidation, challenges they encounter, etc. </div></li> </ul> <div></div> <div> Business Development </div> <ul> <li> <div> Work with Subsidiary leadership to develop business development plans and targeted outreach. </div></li> <li> <div> Utilize internal and external materials to identify opportunities and attend approved conferences. </div></li> <li> <div> Outreach to C-suite level executives at business development targets to develop long term lasting relationships. </div></li> <li> <div> Source transaction opportunities directly with retailers as well as investment bankers, financial advisory firms, law firms, secured lenders, etc. </div></li> <li> <div> Source opportunities and assist with the growth of HMR’s strategic initiatives, including distressed debt and strategic debt investments. </div></li> <li> <div> Based on your background, knowledge, and expertise, identify opportunities for growth of HMR’s business segments and partner with leadership to achieve incremental growth. </div></li> </ul> <div></div> <div> Reporting Relationship: </div> <ul> <li> <div> This position reports to the President of Hilco Merchant Resources </div></li> <li> <div> In addition to a minimum of 40 hours per week, required domestic and international travel to attend meetings with clients or potential clients, conferences, hearings, auctions, and other business matters. </div></li> </ul> <div></div> <div> Hilco Global is an equal opportunity employer.
