The Legal division delivers comprehensive legal services by providing efficient and reliable legal guidance, managing legal risk, and supporting the development of solutions to achieve the mission of the foundation and its affiliated entities. <br> <br> The Legal division partners with our colleagues across the foundation to enable mission-driven work by maintaining an efficient, well-run global organization where employees can thrive and make their best contributions. Doing this well requires effective collaboration, strong alignment, and thoughtful planning across both operational and programmatic teams – as well as shared accountability for mitigating risk and optimizing our operational resources. <div></div> <div> The individual we are seeking will be responsible for providing legal support for complex transactions and collaborations in furthering our charitable objectives. That legal support will include structuring, drafting, and negotiating complex agreements and advising program and operations leaders and partners on complex grants, contracts, investments, and collaborations (collectively, “Transactions”). This individual will provide support across the foundation and its affiliated entities, including our United States Program division. </div> <div></div> <div> What You’ll Do </div> <div> Core responsibilities include: </div> <ul> <li> <div> Structure, negotiate, and draft documents related to the foundation’s Transactions and provide practical legal advice and counsel and become a trusted advisor to our program teams. </div></li> <li> <div> Provide guidance in developing and implementing intellectual property, licensing, and other strategies to accomplish our goal of global access (making access to technology and products available at an affordable price for our target student populations). </div></li> <li> <div> Provide support in other legal matters or foundation policies and issues as needed and serve as an active member of our legal team. </div></li> <li> <div> Understand the programmatic and other objectives of internal client groups, develop creative solutions, and resolve issues using our framework and values. </div></li> <li> <div> Collaborate with other members of the legal team and foundation personnel as appropriate. </div></li> <li> <div> Manage outside counsel as appropriate. </div></li> <li> <div> Train and educate foundation personnel regarding laws and applicable best practices. </div></li> <li> <div> Keep current on new and emerging laws and policy developments impacting business transactions, intellectual property, and private foundations. </div></li> <li> <div> Some travel may be required. </div></li> </ul> <div></div> <div> Your Experience </div> <ul> <li> <div> Juris Doctor degree and current bar membership in good standing are required. </div></li> <li> <div> Minimum of 10 years’ experience in the practice of law with demonstrated expertise in being the lead lawyer on transactions, including licensing agreements, business development transactions, collaboration agreements, commercial agreements, and/or equity investments. </div></li> <li> <div> Substantial law firm experience preferred. </div></li> <li> <div> Outstanding drafting and negotiating abilities are required. </div></li> <li> <div> Extensive experience advising on transactions or client matters related to the U.S. edtech or educational products (“edtech”) sector, including an understanding of the edtech market and legal issues related to edtech product development, licensing and commercialization. </div></li> <li> <div> Extensive experience navigating the intersection of legal issues related to edtech intellectual property, education regulations (early learning, K-12, and post-secondary), and privacy and data protection laws, such as FERPA and COPPA. </div></li> <li> <div> Proven track record to quickly understand new technology. </div></li> <li> <div> Strong business sense and client focus. </div></li> <li> <div> Ability to work with flexibility, efficiency, enthusiasm, and diplomacy both individually and collaboratively as part of a team effort. </div></li> <li> <div> Strong interpersonal skills, maturity, sound judgment, and ability to communicate in a clear and compelling manner with internal and external audiences. </div></li> <li> <div> Intellectual curiosity, discipline, resourcefulness, and resilience. </div></li> <li> <div> Self-motivated and a passion for the mission of the foundation. </div></li> <li> <div> Highest standards of ethics and integrity. </div></li> <li> <div> Sense of balance, humor, and perspective. </div></li> </ul> <div></div> <div> Must be able to legally work in the country where this position is located without visa sponsorship. </div> <div></div> <div> The typical salary range for this role is $209,700 to $390,100 USD.
