We are not currently accepting search firm submission for this position The Transportation Industry Group of Reed Smith LLP is seeking a mid- to senior-level associate for our growing capital markets and securities law practice focused on transportation industry clients. Candidates should have a minimum of 3 years of experience representing public and private companies (including foreign private issuers) in corporate transactions, with an emphasis on both debt and equity capital markets transactions (including SEC-registered and Rule 144A offerings). The ideal candidate will also have experience in disclosure, corporate governance, and SEC and stock exchange reporting and compliance matters, including legal analysis and preparation of beneficial ownership reports (such as Schedules 13D and 13G) and periodic reports (such as Forms 10-K or 20-F, 10-Q or 6-K) and annual proxy materials under the Securities Exchange Act of 1934. The candidate will also work with partners and counsel on a broad range of transactional matters for a variety of clients, including lenders and other financiers, including private equity funds. This position requires the ability to work independently in a fast-moving transactional context. Candidates with big law firm experience, immediately transferable skills (including effective interpersonal skills when communicating with colleagues and client) and strong academic backgrounds are preferred. $235,000 - $390,000. This represents the presently-anticipated low and high end of Reed Smith’s pay range for this position. Actual pay may vary based on various factors, including but not limited to location and experience.
