The position reports to a senior corporate attorney and will be responsible for providing significant support with respect to 1933 Act, 1934 Act and corporate governance matters. A successful candidate must be detail-oriented and have the ability to work independently while managing multiple priorities and deadlines.

<br> Responsibilities
<br>
<ul>
<li>Assist with the preparation and filing of various filings with the U.S. Securities and Exchange Commission, including; Forms 10-K, 10-Q and 8-K; Section 16 filings; registration statements; and proxy statements;</li>
<li>Provide counsel in the areas of capital markets transactions and corporate finance matters, including mergers and acquisitions, securities offerings and repurchase and credit facilities;</li>
<li>Handle corporate governance matters, including the preparation of board and committee meeting materials;</li>
<li>Assist in developing and maintaining policies and procedures to ensure continuing compliance with SEC and NYSE rules and regulations and support other internal compliance functions; and</li>
<li>Draft and negotiate a wide array of general corporate agreements, including service agreements, non-disclosure agreements and other commercial contracts.</li>
</ul> Qualifications
<br>
<ul>
<li>JD from an ABA accredited law school and excellent academic credentials;</li>
<li>State Bar membership in one or more states;</li>
<li>4-7 years of relevant corporate law experience, with an emphasis in securities and corporate governance matters;</li>
<li>Versatility, maturity and ability to work both independently and as part of a team; and</li>
<li>Excellent oral and written communication skills.</li>
