**Position Title: Division Counsel** **Location: Atlanta, GA** **Reports to: Chief Division Counsel** **Position Overview** Reporting to the Chief Division Counsel, the Division Counsel role is responsible for the day-to-day legal affairs of a key Newell Brands global business unit, having direct interface with and delivery counsel to business unit leadership and cross-functional internal business stakeholders. Key responsibilities include, among others, contract creation, review and negotiation; marketing and advertising claims advice; regulatory compliance advice; development and administration of legal training; supporting company data privacy program; and supporting or leading key company strategic initiatives. The role also entails regular collaboration with other internal specialized attorneys and other roles within the Company on certain areas such as intellectual property, employment litigation and counseling, regulatory matters and product liability litigation, as well as with international legal team members across the globe. The Division Counsel role presents a great opportunity for engaging on a breadth of interesting legal topics, interfacing with company clients at all levels and functions, at a global consumer goods company delivering a diverse range of consumer products through multi-channel capabilities. **Essential Functions and Responsibilities** * Oversee and Manage Legal Services: Lead attorney responsible for managing all legal services provided to global business unit. Provide direct legal support and coordinate legal services provided by internal legal specialists and international legal teams, as well as outside counsel. Counsel business clients on a full range of legal issues, including advertising and marketing claims, retailer, wholesaler, distributor, and procurement contract negotiations, data privacy regulations and breach response, ecommerce and information technology matters, compliance, product safety, antitrust, and product packaging and labelling. * Participate with Business Unit Management: Serve as member of business unit management committee. Includes routine attendance and involvement in regular business unit management meetings with business unit leadership, staying abreast of operations and providing legal advice as required. Also serve as liaison between business unit and legal department, communicating updates, increasing connectedness and fostering relationships. * Review and Advise on Sales and Marketing Activities: Educate internal business clients on legal requirements associated with sales activity, advertising, contests and promotions, and social-media based consumer marketing. Review marketing claims, advertising, and other print and digital collateral. Coordinate the same with international legal teams for commercial activity outside of North America. Provide regular training on marketing and competition laws. * Draft, Review and Negotiate Agreements: Draft and review contracts with global customers, distributors, suppliers, and service providers. Negotiate key agreements in partnership with business clients and advise on the impact of key terms. Collaborate and coordinate with international and regional team legal team members on drafting, negotiating and executing contracts and agreements. * Manage Legal Budget: Manage costs and spending for business unit’s legal services and activities within approved budgets. Manage use of outside counsel within approved budgets and retainer agreements, as applicable, for both day-to-day activities and special projects. Actively work to improve productivity levels to obtain quality services while holding or decreasing variable costs. * Manage Disputes and Litigation: Proactively assist business clients in mitigating legal risk, managing early stage disputes and developing proposals for resolution. Work with internal litigation specialists and manage outside counsel throughout the region as needed. * Assist in Acquisition and Divestiture Activity: Work with the corporate development function and other legal team members to assist in the acquisition or divestiture activities. * Advise on Regulatory Matters: Stay informed and, together with regulatory counsel, advise business clients regarding compliance with regulatory issues affecting the business on a wide range of issues including product safety standards, environmental regulations, data security and data privacy, packaging requirements, customs and trade rules, cross border sales activities, and e-commerce sales activities. * Work with Legal Colleagues: Regularly collaborate and coordinate with other Division Counsel and senior leaders of trademark, patent, ethics and compliance, litigation teams, and international legal teams, as applicable, regarding significant developments and issues affecting the organization and business. Monitor and report on changes in applicable Federal, State, and local laws. **Basic Qualifications** * Juris Doctorate law degree from well-regarded ABA accredited law school. * Licensed to practice and current in at least one state. * Minimum of 8 years combined law firm and in-house experience. * A hands-on legal professional possessing outstanding technical, analytical, communication and influencing skills. * Expertise in commercial law. * Experience with litigation and intellectual property matters. * Proven maturity level / presence with senior executives, good presentation skills. * Experience with public, multi-national corporations. * Strong contract drafting skills. **Preferred Qualifications:** * In-house Counsel experience strongly preferred. * Experience with mergers and acquisitions. * Experience with Consumer Goods industry. * Ability to work in an organized, detailed manner under tight deadlines. * Expertise in dealing with complex business issues and grasp complex legal issues quickly. * Excellent communication skills, ability to present complex information in simple terms. * Ability to work in a collaborative manner. * Strong negotiations skills. * Motivated, self-started, and ability to independently manage workload. **Key Interfaces:** * Business Unit leadership * Procurement specialists * Product managers and direct reports * Marketing personnel * Engineers * Outside counsel * Specialist attorneys in the company (litigation; trademark; patent; employment; regulatory; securities; and international counsel) Newell Brands (NASDAQ: NWL) is a leading global consumer goods company with a strong portfolio of well-known brands, including Rubbermaid, FoodSaver, Calphalon, Sistema, Sharpie, Paper Mate, Dymo, EXPO, Elmer's, Yankee Candle, Graco, NUK, Rubbermaid Commercial Products, Spontex, Coleman, Campingaz, Oster, Sunbeam and Mr. Coffee.
