With a culture built on entrepreneurialism, partnership and being a team within teams, our firm offers joiners the opportunity to think out loud, collaboratively. **Position Overview:** The Associate General Counsel of StepStone Group will support StepStone's Venture Capital and Growth Equity sector team within the Private Equity business, and report into the Deputy General Counsel for that sector. As an integral member of the Legal team, the person filling this role will be responsible for drafting and negotiating legal documentation with respect to the firm's (1) Venture Capital and Growth Equity clients and investment products, including commingled funds, funds-of-one, and investment advisory relationships; and (2) Venture Capital and Growth Equity fund and direct investments, both primary and secondary. **Essential Job Functions:** * Assist Deputy General Counsel in fund formation and structuring for venture capital and growth equity * Liaise and coordinate with investment, finance, compliance, and operational due-diligence teams on all fund formation and investment activities * Review placement memoranda, partnership agreements, and related documents for investments in venture capital and growth equity funds and startup companies and prepare analysis regarding same for inclusion in investment memoranda or otherwise deliverable to clients * Manage negotiation and execution of documentation, including term sheets, letters of intent, side letters, subscription documents, and equity financing documents * Manage input of fund terms into the firm's proprietary database * Negotiate and draft documentation to execute (1) secondary purchases and sales of fund interests and shares in startup companies, (2) co-investments, and (3) direct investments * Manage outside counsel in connection with formation of new funds and select investment activity * Monitor existing investment portfolio and manage disposition of investments * Supervise paralegals, including in the negotiation of confidentiality agreements, closing-related matters, transfer of fund interests, and other matters, as needed * Special projects from time to time subject to availability (e.g., strategic transactions, new product research and evaluation, special mandate activity, process efficiencies, fiduciary counseling and training, regulatory filings, etc.) **Education and/or Work Experience Requirements:** * 4 Year College Degree Required * Must possess a law degree from an accredited and reputable law school, be admitted to the MD, NY or CA bar, and be in good standing * Approximately 3 to 5 years of venture capital, fund formation, investment management and/or transactional legal experience * Experience with private markets investment management firms, whether in-house or at a reputable law firm **Required Knowledge, Skills, and Abilities:** * Professionally communicate with all levels of staff and external stakeholders * Utilize effective time management skills to maintain a commitment to quality and attention to detail; ensure that all work is completed accurately and on time * Foster a sense of teamwork, assisting others when needed/required; work collaboratively with attorneys supporting other asset classes to share best practices, provide coverage, etc. * Flourish in a challenging, fast-paced, and professional environment with frequent shifts in priorities as business needs dictate * Have a strong sense of integrity, behaving consistently with expressed values and ethical principles of StepStone * Focus on specific goals and demonstrate a sense of personal growth, accountability and urgency for achieving results **About us** Working out of 23 offices in 14 countries, StepStone has a truly global viewpoint.
