Job Description This Assistant General Counsel position leads the Global Contract Management Organization (CMO), which provides legal support for Western Digital’s Strategic Sourcing/Procurement Organization. This role will manage a team of attorneys and professionals, with a commitment towards developing and mentoring the team. You will partner with Strategic Sourcing/Procurement to respond to requests for commercial contracts from IT, Engineering, Finance, Human Resources, Real Estate, Manufacturing, Operations, factory sites, and other relevant business clients. As the CMO lead, you will be responsible for managing all aspects of vendor/supplier agreements, including providing counsel and advice to internal clients and sourcing partners; monitoring and tracking contract workflow; maintaining contract records and documents; developing and updating template contract documents and playbooks; and creating and providing training on contract policies and procedures. You will ensure that the CMO processes and systems are followed globally and allow for the efficient and timely drafting and negotiation of contracts. You will also manage the company’s non- disclosure agreement program. This role requires excellent management skills, a commitment to work cross- functionally, and the ability to prioritize work in a fast-paced environment. This full-time position will be based at Western Digital’s offices in San Jose, CA or Irvine, CA and will report to the Senior Vice President and Deputy General Counsel. ESSENTIAL DUTIES AND RESPONSIBILITIES: * Provide strong leadership, development, management, and training to members of a global CMO team responsible for drafting and negotiating commercial agreements, including master service agreements, purchase agreements, statements of work, non-disclosure agreements, and software licensing agreements, across a broad spectrum of procurement and supply chain goods and services * Manage the company’s contract management function supporting procurement * Manage the company’s contract management function supporting procurement and manage the non-disclosure agreement program for the company * Develop and execute a global strategy for contract management that is aligned with current and future needs of the company * Establish trusted relationships with business stakeholders and collaborate with cross-functional partners to meet the CMO’s and company’s goals and help execute the company’s strategic sourcing strategy * Counsel and partner with cross-functional stakeholders on vendor/supplier risks and issues and provide practical advice and alternative solutions to complex business and legal issues * Manage workflow of the CMO to maximize efficiency and responsiveness and to allow team members to develop their skills and knowledge * In close coordination with the Strategic Sourcing team, create and update policies and procedures related to procurement contracts and process workflows, including templates * Manage a budget with an eye towards balancing priorities while protecting the company and reducing risk * Have a deep understanding of the supply chain, industry, and market trends that might impact contract negotiations or vendor/supplier relationships Qualifications REQUIRED: * J.D. degree from an accredited law school and current member in good standing of a state bar * 15+ years of experience with a broad range of commercial agreements, including technology and procurement or supply chain agreements, including at least 7 years of experience with an in-house legal department for a multi-national company * Demonstrated experience with and commitment to mentoring, developing, inspiring, and managing a high-performance and collaborative international team of attorneys and professionals * Experience building strong relationships within a team to facilitate a collaborative, trusting, and supportive environment * Comfortable balancing and prioritizing competing and shifting demands and deadlines from multiple stakeholders and the ability to stay calm and guide a team through changing and tight deadlines * Instill trust and develop and maintain strong working relationships with internal stakeholders and external vendors, suppliers, and strategic partners * Significant knowledge and understanding of processes and systems to support a contract management organization * Demonstrated success in incorporating a contract management organization within a business strategy and proposing practical solutions while protecting corporate objectives, budget, and interests * Ability to learn from challenges and demonstrate resilience * Detail-oriented, self-initiating, well-organized, and capable of managing multiple projects simultaneously * Excellent oral and written communication and presentation skills and ability to influence/persuade external vendors, suppliers, and strategic partners * Strong analytical skills with the ability to understand and translate complex and potentially technical and complex contractual terms into simple, but effective statements for internal stakeholders, including senior executives * Strong project management skills necessary to lead cross-functional projects and drive them to completion effectively and timely Additional Information Western Digital is committed to providing equal opportunities to all applicants and employees and will not discriminate based on their race, color, ancestry, religion (including religious dress and grooming standards), sex (including pregnancy, childbirth or related medical conditions, breastfeeding or related medical conditions), gender (including a person’s gender identity, gender expression, and gender-related appearance and behavior, whether or not stereotypically associated with the person’s assigned sex at birth), age, national origin, sexual orientation, medical condition, marital status (including domestic partnership status), physical disability, mental disability, medical condition, genetic information, protected medical and family care leave, Civil Air Patrol status, military and veteran status, or other legally protected characteristics.
