Job Description:
SVB is currently seeking candidates for the position of Bank Regulatory
Counsel (or other title depending on experience) to advise on U.S. bank
regulatory matters. The successful candidate must have strong knowledge of
core federal and state banking statutes and regulations, including the Bank
Holding Company Act, Federal Reserve Act, Dodd-Frank Act, Federal Deposit
Insurance Act and other prudential and safety and soundness regulations, and
how they apply to bank operations. Experience working with or for a banking
institution or other regulated business is a plus.

While this position is ideally located in California (San Francisco) or New
York (New York City), there is flexibility to consider candidates in other
locations near an SVB U.S. office.
The position will report to the lead Senior Counsel covering U.S. bank
regulatory matters and government affairs.
_Primary Responsibilities:_
* Advise on U.S. bank regulatory matters, including:
* Permissible activities and investments and applicable Federal Reserve regulations (such as Regulations Y, W, K and YY and the Volcker Rule)
* Enhanced prudential standards for large financial institutions (such as resolution planning)
* Lending limits, capital and liquidity requirements and other applicable banking regulations
* Provide regulatory advice for new initiatives, product development, corporate strategic investments or partnerships, capital market transactions and mergers and acquisitions
* Draft regulatory disclosures or other correspondence with bank regulatory agencies
* Provide support to the Company’s regulatory affairs and regulatory reporting function
* Advise and prepare correspondence, notices or responses in connection with federal and state supervisory activities, such as management responses to exam reports
* Monitor, analyze and operationalize applicable bank regulatory rulemaking and related developments
* Draft regulatory notices and other required submissions, as well as comment letters to regulatory agencies on proposed rules applicable to the Company
* Provide support to the Company’s government affairs, regulatory affairs function and regulatory policy and advocacy efforts, including engagement with trade associations
_Skills/Qualifications:_
* 2 to 6+ years of experience (either in-house, law firm or federal banking regulator)
* J.D. from a top tier school and excellent academic credentials
* Active membership in good standing in at least one state bar, preferably California or New York

We expect you to take ownership of matters to which you are assigned, seize the initiative to engage with colleagues within Legal and across the organization, seek out additional information relevant to the task at hand, ask hard questions, and provide great legal counsel for the issues at hand as well as those you see around the corner.
* Discipline. Our success depends on our ability to execute as a team, so we must be able to depend on your ability to reliably memorialize guidance and analysis delivered to the business in the course of building and implementing solutions.

Base Pay:
$204,128.00 - $239,337.00
Actual starting base pay will be determined on skills, experience, and other
non-discriminatory factors permitted by law. Total compensation may also
include variable incentives, bonuses, benefits, and/or other perks, as
outlined in any formal offer made.
