Maintains positive contact with clients and observes confidentiality in client matters. May work independently or with supervision from other senior attorneys. <br> <br> This person can work remotely! </div> <div> <p><b> Responsibilities:</b></p> <ul> <li> Maintains expertise in assigned subject matter areas, advises appropriate members of the department on legal developments impacting the attorney's areas of expertise and actively seeks out opportunities to bring the organization into compliance within those areas of law.</li> <li> Ensures timely responses are provided to requests for legal advice in the attorney's assigned areas.</li> <li> Identifies and proactively seeks to implement measures to bring legal services to the organization in the most effective way possible.</li> <li> Cooperates effectively and takes leadership roles as requested on projects and teams within the Law Department and within the organization.</li> <li> Relates professionally and effectively with people at all levels of the organization and utilizes excellent problem-solving, writing and organizational skills.</li> <li> Other duties as assigned.</li> </ul> <p><b> Additional Responsibilities</b><b>:</b></p> <ul> <li> Will be primarily responsible for supporting Cleveland Clinic Innovations (“Innovations”), Cleveland Clinic Ventures (“Ventures”) and their majority-owned spinoff companies. Support would entail reviewing, drafting, negotiating and analyzing various legal documents; drafting template agreements for common transactions.</li> </ul> <ul> <li> Works with Innovations and Ventures, plus applicable subject matter experts in the Law Dept. and other Cleveland Clinic departments when necessary (<i>e.g</i>., IT, corporate accounting, tax, research, etc.), to review, draft, revise and negotiate contracts.</li> </ul> <ul> <li> Typical Innovations documents will include, without limitation and by way of example only: <ul> <li> Intellectual property license agreements (Cleveland Clinic as licensor) in the areas of Health Information Technology (software, algorithms and data), Medical Devices and Pharm/Life Sciences, in each case from term sheet through definitive agreement;</li> <li> Joint development and collaboration agreements; and</li> <li> Inter-institutional agreements.</li> <li><b> Note</b>: Some licensing arrangements involve CCF receiving equity as partial consideration for the license of CCF IP, and thus these deals would entail reviewing and negotiating applicable equity documents (e.g., SAFEs, warrants, or stock).</li> </ul></li> <li> Typical Ventures documents will include, without limitation and by way of example only: <ul> <li> Investment agreements (<i>e.g</i>., series seed, convertible debt, preferred stock) for both control and non-control ownership positions;</li> <li> Corporate documents for majority-owned portfolio companies (<i>e.g</i>., equity plans and award agreements; executive and non-executive employment agreements; corporate governance documents);</li> <li> M&amp;A agreements; and</li> <li> Joint venture and new company formation and management agreements.</li> </ul></li> <li> Reviews previously executed contracts to advise on the parties’ respective rights and obligations.</li> <li> Works with Innovations to engage outside counsel for patent prosecution; oversees patent counsel.</li> </ul> <p><b> Education: </b></p> <ul> <li>Juris Doctor (JD) from ABA accredited law school.</li> </ul> <p></p> <p><b> Certifications:</b></p> <ul> <li> Member in good standing of the Ohio bar or ability to become a member of the Ohio bar within a reasonable period of time.</li> </ul> <p></p> <p><b> Complexity of Work:</b></p> <ul> <li> Exercises independent judgment and discretion to perform legal services.</li> <li> Requires critical thinking skills, decisive judgment and the ability to work with minimal supervision.</li> <li> Must be able to work in a stressful environment and take appropriate action.</li> </ul> <p></p> <p><b> Work Experience: </b></p> <ul> <li>Requires 5 or more years of experience as a practicing attorney, including at least two years specifically in the area of practice, and a strong understanding of the operation of a regulated industry.</li> <li> Experience with transactions involving intellectual property (<i>e.g</i>., patent and know-how license agreements), and/or M&amp;A and VC/financing (SAFEs, warrants, series seed, convertible debt, preferred stock) preferred.</li> </ul> <p></p> <p><b> Physical Requirements: </b></p> <ul> <li>Ability to perform work in a stationary position for extended periods.</li> <li> Ability to travel throughout the hospital system.</li> <li> Ability to operate a computer, audio visual and other office equipment. </li> <li>Ability to communicate and exchange accurate information, including the ability to deliver training in person and virtually.</li> </ul> <p><br> </p> <p><b>Personal Protective Equipment</b>:</p> <ul> <li> Follows standard precautions using personal protective equipment as required.</li> </ul> <p> keywords: Tech Transfer, TTO, IP, Patent, Intellectual Property, Attorney</p> </div> </div> <br> Law Department</div>
