Provides legal guidance and counsel to all levels of management in the conduct of business for the company. Reports directly to the Assistant General Counsel.</p> <ul> <li>Draft, negotiate, and advise regarding contracts involving sales, procurement, product development, marketing, information technology, advertising, etc. </li> <li>Provide legal support to Sales organizations in responses to requests for proposals and other bidding documents for large customer and/or government issued requests.</li> <li>Provide efficient and solution-oriented legal advice on day-to-day matters for Sales, Procurement, and Operations organizations.</li> <li>Develop and/or modify internal contract templates and processes to address and minimize risk to the business while promoting efficiency.</li> <li>Support merger and acquisition activity, including through due diligence efforts.</li> <li>Conduct training for Sales and Procurement organizations on relevant legal issues and internal processes</li> <li>Coordinate with internal and external legal resources as necessary</li> <li>Research and analyze various legal issues and render opinions. </li> <li>Perform legal assignments that are complex and varied in nature, usually involving creativity and interpersonal skills to achieve favorable results. </li> <li>Know and use the fundamental concepts, practices and procedures of the legal field. </li> <li>Work with outside and other in-house counsel as required. </li> <li>Other duties as assigned.</li> </ul> <p><b><i>Education/Work Experience Required:</i></b></p> <ul> <li>Juris Doctorate or LLM from an accredited United States institution. </li> <li>Must have been admitted to the Bar Association of at least one of the United States.</li> <li>A minimum of eight (8) years prior legal experience in commercial transactions is required, with a combination of law firm and in-house experience preferred.</li> </ul> <p><b><i>Core Competencies:</i></b></p> <ul> <li>Team player with a positive, solution-oriented attitude is a must.</li> <li>Expertise in commercial transactions is a must.</li> <li>Experience in construction or the security industries is preferred.</li> <li>Experience with SaaS or IT contracting is a bonus.</li> <li>Willingness to act as a problem-solving business partner, assisting the business in achieving organizational goals while mitigating risk to appropriate levels.</li> <li>Must have exceptional organization, and time-management skills.</li> <li>Must be able to convey complex concepts quickly and simply for effective business use.</li> <li>Ability to effectively work with, and gain the confidence of, ADT management and other ADT personnel.</li> <li>Hands-on project management skills.</li> <li>Strong computer skills and proficiency in Microsoft Office Suite.</li> <li>Travel will be infrequent, but willingness to travel when necessary is required.</li> </ul> <p><b>Pay and Benefits Disclosure</b><br> The salary range for this role is $150,000 - $170,000 and is based on experience and qualifications. This role is eligible for a 30% annual bonus. These awards are allocated based on company and individual performance. We offer employees access to healthcare benefits, a 401(k) plan and company match, short term and long term disability coverage, life insurance, wellbeing benefits and paid time off among others. Employees accrue up to 120 hours in their first year. Your accrual rate increases after your first year.
