Unlock your ambition, turn ideas into world-changing realities, and join an organization where every voice makes a difference, and every difference builds a healthier world. <p></p> <b> Job Description</b> <p><b> Roles and Responsibilities:</b></p> <p> If this opportunity excites you, here are some areas where we could use your help:</p> <ul> <li><p> Partnering with GE HealthCare’s Strategy &amp; Business Development team to provide legal advice for M&amp;A transactions (mergers, acquisitions, divestitures, carve-outs, joint ventures, minority investments, collaborations, technology partnerships, licensing programs, etc.).</p></li> <li><p> Managing all aspects of domestic and international transactions from inception to completion, including establishing appropriate transaction structures, coordinating the due diligence process, drafting and negotiating definitive transaction agreements and ancillary documents, including confidentiality agreements and letters of intent, handling the internal approval process and supporting closing transactions and post-closing integration.</p></li> <li><p> Driving execution of transactions through collaboration with cross-functional teams, including Finance, Tax, Compliance, IP, Healthcare Regulatory and Quality and HR.</p></li> <li><p> Coordinating with outside legal counsel and other advisors or consultants.</p></li> <li><p> Protecting the organization through assessment and mitigation of risk.</p></li> </ul> <p><br> </p> <p><b>Required Qualifications:</b></p> <ul> <li><p> Strong corporate and transactional practice, including handling legal aspects of complex transactions and advising on deal structure and strategy, overseeing the deal process, drafting and reviewing transaction documents and leading negotiations.</p></li> <li><p> JD or equivalent from an accredited law school.</p></li> <li><p> Minimum of 4-6 years of experience in working as an M&amp;A/corporate practitioner at a top tier law firm or multi-national company.</p></li> <li><p> Member in good standing with at least one state bar association.</p></li> </ul> <p></p> <p><b> Desired Characteristics:</b></p> <ul> <li><p> A strong commitment to integrity, professionalism, sound judgment and a passion for excellence.</p></li> <li><p> Strong interpersonal and leadership skills, including effective verbal and written communication skills.</p></li> <li><p> Demonstrated ability to handle multiple priorities and make real time decisions in a fast-paced environment.</p></li> <li><p> Established project management skills.</p></li> <li><p> Demonstrated ability to work effectively in a cross-functional environment, with global teams.</p></li> <li><p> Strong interest in and familiarity with the healthcare industry.</p></li> <li><p> Strong working knowledge in Excel, Word, and PowerPoint.</p></li> </ul> <p></p> <p> We expect all employees to live and breathe our behaviors: to act with humility and build trust; lead with transparency; deliver with focus, and drive ownership –always with unyielding integrity.</p> <p></p> <p> Our total rewards are designed to unlock your ambition by giving you the boost and flexibility you need to turn your ideas into world-changing realities. It is not typical for an individual to be hired at or near the top of the pay range and compensation decisions are dependent on the facts and circumstances of each case. The specific compensation offered to a candidate may be influenced by a variety of factors including skills, qualifications, experience and location. In addition, this position may also be eligible to earn performance based incentive compensation, which may include cash bonus(es) and/or long term incentives (LTI).
