Description
The candidate will assist a team of attorneys and paraprofessionals across all aspects of corporate transactions (including mergers and acquisitions, debt and equity financing and fund formation). General corporate support: Form and maintain business entities: draft and file formation documents, maintain minutes books and related data tracking, prepare minutes, prepare foreign qualifications and track and perform other company maintenance functions. Support acquisition and disposition transactions: prepare corporate certificates and provide appropriate documentation, make required filings, assist with closings, etc. Preparation and filing of corporate annual compliance documents for various entity types in numerous states. Maintain: closing document binders, archives of material agreements, letters sent to audit firms, D&O questionnaires for public companies, binder of publicly filed documents, etc. Assist in preparation, filing, and review of UCC financing statements, terminations, and amendments as well as federal and state tax liens, pending suits/judgments. Assist client with annual reports and tax filings as requested by client. Assist in qualifying and withdrawing entities to do business in foreign jurisdictions. Review of due diligence materials for a number of corporate transactions. Securities support: Prepare notices for Regulation D, Rule 506 offerings, prepare blue sky research, memoranda and filings. NASAA Electronic Filing Depository experience needed. Support annual and reporting teams: prepare Section 16 and stock exchange filings, assist in preparation of annual, quarterly and current reports, etc. Support securities offerings: procure and assemble closing documents, assist with closings, order and organize good standing requests and maintain closing and post-closing files. Qualifications Bachelor’s degree required. Paralegal certificate preferred. 3-5 years’ experience as a Corporate Paralegal required. Excellent interpersonal and communication skills. Works effectively, calmly, and quickly under pressure. Works well both independently and with teams. Exhibits superior judgment. Strong customer focus with a high level of responsiveness and accountability. Strong attention to detail and the ability to handle multiple priorities. Strong technical skills, including Microsoft Office Suite, internet and databases. Ability and willingness to work occasional overtime/work outside of normal business hours as needed. Working conditions Standard work week. Overtime as needed. Physical requirements General office work including using a computer, communicating with partners/associates and clients via telephone or Zoom calls. May require some local travel. Salary Range $85,000-$125,000/year
