Provides legal advice on an ongoing basis, including direction on legal opinions, legislation, regulation, and bank wide legal services, other issues of bank wide importance and issues concerning areas of expertise. Experienced attorney responsible for handling legal matters, the significance or complexity of which is commensurate with the attorney's level of experience. Protects CoBank by minimizing its exposure to legal risk and keeping legal expenses to a minimum. Exercises proactive, independent judgment to achieve legal goals for CoBank </div> Essential Functions: <div> 1.Directs and handles all legal aspects of sophisticated commercial loan transactions. Consults with and advises relationship managers and other associates concerning these transactions. <br> 2.Provides legal services, legal counsel, guidance, recommendations, and proactive advice on complex legal issues to assigned individual banking groups/divisions/management. <br> 3.Conducts legal research and issues legal opinions. <br> 4.Prepares, reviews, negotiates and/or interprets various legal instruments and documents of all types such as contracts, leases, loan agreements and other agreements. <br> 5.Advises the Deputy General Counsel and bank staff on the implications of new, revised, or proposed laws or regulations, court decisions, orders, or general business law affecting the bank or its operations. <br> 6.Helps to establish the Legal Division’s short- and long-term strategic goals and objectives. <br> 7.Represents the bank at meetings and conferences as appropriate, with special emphasis on areas of expertise. Develops and presents information on legal matters to these groups and other related meetings, seminars or institutes. </div>Education: <ul> <li>JD from an accredited law school and state bar admission. Preferably, with law review or equivalent experience. required</li> </ul> Work Experience: <div> 3 years of relevant experience representing lenders and borrowers in negotiating, documenting, and closing a wide range of commercial financing transactions. required </div>Physical Exertion Details: <div> Sedentary Exerting up to 10 pounds of force occasionally (Occasionally: activity or condition exists up to 1/3 of the time) and/or a negligible amount of force frequently (Frequently: activity or condition exists from 1/3 to 2/3 of the time) to lift, carry, push, pull, or otherwise move objects, including the human body. Jobs are sedentary if walking and standing are required only occasionally and all other sedentary criteria are met. </div> Travel Requirement Details: <div> Occasional Travel occurs infrequently (typically, once a month or less). </div> About CoBank: <div> The typical base pay range for this role is between $105,223 - $146,312. Compensation may vary based on individual job-related knowledge, skills, expertise, and experience.
