At Collective Health we believe it's time for a new day in healthcare where as members we are informed and empowered to make the right care choices when the decisions are urgent and critical.</p> </div> <p> As Vice President, Deputy General Counsel, Commercial, Regulatory &amp; Governance, you will work closely with legal teammates and business stakeholders at all levels and oversee legal teams which support the company's core business operations and some of its most complex matters. This position reports to the Chief Legal &amp; Administrative Officer and manages a team of legal professionals.</p> <h3 class="jobSectionHeader"><b> In this role you will:</b></h3> <ul> <li>Collaborate closely with legal teammates and business stakeholders at all levels.</li> <li>Oversee legal teams handling commercial agreements, regulatory compliance, corporate governance, M&amp;A, litigation and dispute resolution, and intellectual property protection.</li> <li>Advise the company and senior management on commercial transactions, including M&amp;A, financings, and strategic partnerships.</li> <li>Provide guidance on regulatory compliance and corporate governance, including the Board's fiduciary duties.</li> <li>Manage, guide, mentor, and develop a team of legal professionals.</li> <li>Develop proactive strategies for risk management, regulatory compliance, and the company's best interests.</li> <li>Establish effective negotiation, litigation, intellectual property, and governance strategies.</li> <li>Build trusted cross-functional relationships.</li> <li>Negotiate, draft, review, and coordinate complex contracts and agreements.</li> <li>Stay updated on industry trends, regulatory developments, and legal best practices.</li> <li>Educate and train internal business teams on relevant matters.</li> <li>Represent the company to customers and industry functions.</li> <li>Help set priorities for the legal team and actively engage as a lawyer and leader within the legal department.</li> </ul> <h3 class="jobSectionHeader"><b>To be successful in this role, you'll need:</b></h3> <ul> <li>J.D. from an accredited law school, active membership in good standing in a U.S. state bar.</li> <li>15+ years of relevant legal experience, preferably, in-house, advising healthcare, healthcare technology, or employee benefits companies.</li> <li>Mastery of the healthcare industry and self-funded employer-sponsored group health plan laws, regulations, and best practices, including ERISA, state laws governing TPAs and medical networks.</li> <li>Strong understanding of technology and its legal, ethical, and business implications.</li> <li>Exceptional leadership skills to inspire, empower, and develop legal professionals.</li> <li>Outstanding judgment, negotiation, organizational, and drafting skills.</li> <li>Ability to make sound decisions with limited information.</li> <li>Excellent oral and written communication skills to convey legal advice to non-legal stakeholders.</li> <li>Proven ability to define and execute strategies for complex issues and competing priorities.</li> </ul> <h3 class="jobSectionHeader"><b>Desired qualifications:</b></h3> <ul> <li>Eagerness to learn, show initiative, and engage hands-on with clients and issues.</li> <li>Strong leadership skills with a desire to coach and develop the team.</li> <li>Unwavering commitment to integrity, judgment, client service, and professionalism.</li> <li>Entrepreneurial mindset.</li> <li>Flexibility, adaptability, authenticity, accountability, creativity, dependability, emotional intelligence, empathy, collegiality, humility, graciousness, resilience, perspective, sense of humor, and passion for teamwork.</li> </ul> <h3 class="jobSectionHeader"><b>Pay Transparency Statement</b></h3> <p> This job can be performed in a location where we have an office: San Mateo, CA, Chicago, IL, Lehi, UT, or Plano, TX, or hired for remote work in the following states: CA, CO, CT, FL, GA, IL, MA, MI, MN, NJ, NY, NC, OH, OR, TX, UT, or WA.
