The attorney for this group will be primarily responsible for assisting internal business clients with issues relating to private credit (senior secured bank loans, intermediate capital, private placement bonds/notes, and project finance/infrastructure debt instruments) and private equity (control, minority and fund) investments and transactions. This role will be located at the firm’s headquarters in Charlotte, NC. </div> <div></div> <div> <i> Primary Responsibilities</i> </div> <div> The successful candidate will be expected to perform the following functions: </div> <ul> <li> Review, analyze, and negotiate senior secured private credit investments, private placement bonds/notes, project finance/infrastructure transactions, intermediate capital, and private equity investments.</li> <li> Provide day to day legal support to Private Assets internal business analysts and portfolio managers.</li> <li> Identify regulatory and operational issues relevant to a SEC registered investment adviser as they apply to investment transactions on behalf of third-party clients.</li> <li> Communicate material legal, compliance and regulatory issues promptly to the firm’s relevant stakeholders.</li> <li> Select, manage, and oversee external counsel in accordance with the firm’s Outside Counsel Management Guidelines.</li> <li> Provide support and counsel on special projects.</li> </ul> <div></div> <div> <i> Qualifications</i> </div> <ul> <li> Minimum of 4 years relevant experience working at a law firm or financial institution</li> <li> Experience drafting and negotiating private credit and/or private equity investment agreements and related documentation</li> <li> Knowledge of the Investment Advisers Act of 1940 preferred, but not required</li> <li> Knowledge and experience drafting and advising on private fund formation and investment (including tax issues) preferred, but not required</li> <li> Knowledge and experience advising on distressed assets preferred, but not required</li> <li> Ability to appropriately prioritize tasks, organize, and coordinate work while showing initiative, independence and sound judgment</li> <li> Demonstrated ability to work effectively both independently and as part of a team</li> <li> Ability and willingness to take ownership and responsibility for tasks</li> <li> Detail-oriented and flexible with a strong work ethic</li> <li> Superior organizational skills and the ability to manage heavy workload of diverse matters in a timely manner</li> <li> High standards of personal integrity and sound business judgment</li> <li> Diverse problem-solving skills in the investment arena</li> <li> Significant interpersonal skills and the ability to successfully deal with internal colleagues, external counsel, and other third parties at senior levels</li> <li> J.D. from a highly regarded law school</li> <li> Licensed to practice law in North Carolina (or another US jurisdiction, with the ability to obtain license in North Carolina)</li> <li> Must be willing to comply with the provisions of Barings’ Code of Ethics related to personal securities activities and other disclosure and certification requirements</li> </ul> <div></div> <div> <i> Barings is an Equal Employment Opportunity employer; </i> <i>Minority/Female/Age/Sexual</i> <i> Orientation/Gender Identity/Individual with Disability/Protected Veteran.
