Orrick currently has an excellent opportunity for a temporary Transaction Attorney with its Mergers & Acquisitions and Private Equity practice (MAPE). This position can be located in any of our US office locations (Austin; Boston; Chicago; Houston; Los Angeles; Menlo Park; New York; Orange County; Portland; Sacramento; San Francisco; Santa Monica; Seattle; or Washington DC) or our Global Operations & Innovation Center in Wheeling WV. Are you a self-starter with high levels of initiative and drive, willing to work hard to gain experience with corporate transactions in a major international law firm? Our Transaction Attorney positions are ideal for attorneys who are interested in working in a fast-paced M&A practice. The Transaction Attorney will work side-by-side with other legal professionals as a core member of the deal team, performing real-time client work and managing significant aspects of M&A deals for our clients. You will perform a wide array of tasks, including but not limited to: • Act as a key member of M&A deal teams to discharge client engagements • Project manage aspects of M&A deals • Provide substantive due diligence analysis and oversight of non-attorneys conducting due diligence and other tasks • Draft legal documents for use in M&A transactions • Oversee the activities of Transaction Clerks on your M&A deals and act as a key contact within the M&A deal team for other legal professionals, including managing overflow work to our Orrick Analytics team of attorneys and other legal professionals • Use AI-enabled and other legal technology to review and analyze a variety of corporate documents in the context of acquisitions and dispositions • You will have the opportunity to contribute your ideas to our service delivery model as we focus on continuous improvement of the processes and methodologies • Communicate with clients and other team members • Demonstrate effective teamwork • Work in coordination with other departments and individuals in the firm • A Juris Doctor and successful bar passage and admission to practice in good standing in a U.S. jurisdiction is required • Prior experience with contracts/transactional law and corporate operations is helpful but not required • Willingness to maintain an intense and flexible work schedule (evenings and weekends may often be required in the context of a client engagement) • Strong organizational skills and intense attention to details, with the ability to prioritize and organize multiple tasks in a dynamic working environment • Demonstrated excellent verbal and written communication skills and a shown ability to work with a wide variety of personality types • Strong supervisory and team-building skills • Ability to work in a forward-thinking team environment • Advanced computer skills including proficiency in Microsoft Office • Strong time-management skills • A passionate desire to work in the legal industry is a must! Compensation and Benefits The expected hourly salary range for this position is between: • California Major Markets* $56.50 - $82.00 • New York City $56.50 - $82.00 • National $46.00 - $67.00 * California Major Markets includes San Francisco, Silicon Valley, Los Angeles, Orange County, Santa Monica. All other California locations fall within National range. This compensation and benefits information is based on the Orrick’s estimate as of the date of publication and may be modified in the future. The level of pay within the range will depend on a variety of job-related factors that may include, but not limited to, qualifications, relevant experience or education, particular skills or expertise, geography. Other compensation may include an annual discretionary merit bonus, which would be determined by Firm and individual performance.
