Arnold & Porter has an opening for an Assistant General Counsel. This position may be located in any of the firm’s U.S. offices or may work 100% virtual/remote in a firm-approved U.S. state. The Assistant General Counsel is a member of Arnold & Porter’s Office of the General Counsel. The primary focus of the Assistant General Counsel is leading the firm’s third-party contract review process by overseeing the workflow related to contracts, including the drafting, editing, reviewing, and negotiating key contractual terms. The Assistant General Counsel is also responsible for drafting and updating the firm’s policies and procedures governing the firm’s review, negotiation, and entry into third-party contracts. This role will function as a liaison between the firm’s Vendor Management Office, our General Counsel, and our attorneys and professional staff regarding vendor and service provider contract reviews. Contract types include software/SAAS, cloud services, purchase agreements, subscription agreements, data protection agreements, and event and site-related agreements. The Assistant General Counsel is expected to lead and collaborate in the contract negotiation processes while building strong relationships internally and externally. The position will assist the firm’s General Counsel on matters relating to global firm structure and entity governance, including partnership issues, a broad range of global compliance issues, and responding to new laws/regulations and implementing policies and procedures applicable to the firm. In conjunction with the firm’s Chief Operating Officer, the Assistant General Counsel will assist with legal aspects of the administration and implementation of the cyber-security insurance policies maintained by the firm. Responsibilities include, but are not limited to: Creating an efficient workflow for our third-party contract review process that collaborates with all relevant internal stakeholders while processing contracts in a timely manner. Drafting, reviewing, and negotiating vendor and service provider contracts to support business objectives and policies of the firm. Leading and collaborating throughout the contract review process by analyzing significant business, financial, and legal risks. Providing leadership and guidance to the Vendor Management Office (VMO) and work closely with General Counsel/Corporate Attorneys. Developing and communicating creative solutions and mitigation strategies for key negotiation points. Applying advanced knowledge of contract laws, firm policies, processes, and industry standard practices. Protecting and mitigating firm risks that may arise from contractual agreements. Ensuring key contracts are aligned with the overall priorities of the firm, paying special attention to the firm’s risk management practices as they develop, spotting potential risks in business transactions and raising appropriately and presenting issues to senior management and working closely on the resolutions. Tracking firm policy decisions and ensuring that policies and contract preferences are incorporated into contracts. Supporting the Chief Operating Officer regarding legal aspects of maintaining and implementing the firm’s cyber-security insurance policies. Supporting the Office of General Counsel regarding the firm’s partnership structure and governance matters and its legal and regulatory compliance issues. Qualifications: JD from an ABA accredited law school. Must be currently licensed or eligible to become licensed to practice law in a firm-approved U.S. state. Active member in good standing with the DC Bar or state bar which the attorney is resident. Minimum of four (4) years drafting, reviewing, and negotiating in-house contracts including software/SAAS agreements, purchase agreements, subscription agreements, professional services agreements, and non-disclosure agreements. Strong knowledge of key legal concepts, processes, and industry practices applicable to commercial contracts. Effective and succinct oral communication and clear and concise written communication. Effective analytical and logical reasoning skills. Experience with legal ethics and privilege issues. Ability to demonstrate strategic focus. Possess exceptional judgement, professionalism, and confidentiality. Ability to define goals and follow through to achieve results. Ability to prioritize and manage time effectively. Possess reliability, dependability, and motivation. Excellent organizational skills. Ability to work in a fast-paced environment while exhibiting a strong attention to detail.
