We promote an inclusive work environment that creates feel-good moments for everyone.</p> </div> <br> <div> Job Description <p><b><br> ob Description</b></p> <p> McDonald’s Corporate, Securities &amp; Governance (“CSG”) Legal Team is a strong group of professionals who work collaboratively with teams across the business advising and counseling on a variety of matters, including securities regulation, executive compensation, and corporate governance topics.</p> <p> The CSG Team is seeking a highly-motivated attorney to assist with securities regulation, financing transactions, and related corporate law issues. This is a fiduciary role that ensures the Company complies with relevant laws and regulations. The individual in this role will monitor trends in the Company’s business performance, evolving regulatory requirements, and governance and disclosure best practices. The individual in this role will work closely with clients (including senior level personnel) to understand their needs and help them achieve business goals and objectives.</p> <p><b> Responsibilities</b></p> <ul> <li> Advise on SEC reporting, including Forms 10-K/Q, 8-K, and the Proxy Statement</li> <li> Advise on various financial disclosure matters, including earnings and other financial releases</li> <li> Advise on the Company’s corporate financing matters, including U.S. and international debt offerings, credit facilities, derivative transactions, and share repurchase program</li> <li> Advise on relevant disclosure requirements associated with evolving environmental, social, and governance (“ESG”) topics</li> <li> Provide counsel on the Company’s disclosure controls and procedures and other securities-focused policies</li> <li> Support the preparation and organization of certain materials for Board and Committee meetings</li> <li> Assist with preparations for the Company’s robust shareholder engagement program</li> <li> Participate in cross-functional task force to address shareholder proposals and other stakeholder inquiries</li> <li> Assist with preparations for the Company’s Annual Shareholders’ Meeting</li> <li> Provide legal support for ad-hoc projects coming from various departments, including Treasury, Investor Relations, and Accounting</li> <li> Collaborate closely with securities-focused paralegal, as well as the broader CSG Team professionals</li> </ul> </div> <p></p> <br> <div> Qualifications <br> <ul> <li> J.D. required.</li> <li> Admission to, and good standing in, any state bar in the United States.</li> <li> 2-5 years of securities regulation experience.</li> <li> Project management experience.</li> <li> Strong communications skills with proven success in building internal and external partnerships.</li> <li> Ability to be a strategic partner and trusted advisor for high-profile global business.</li> <li> Ability to influence and lead cross-functional teams.</li> <li> Ability to participate effectively and constructively as a member of a team.</li> <li> Excellent academic credentials.</li> <li> Must exercise sound judgment, be able to work efficiently under time pressures and deadlines in a fast-paced, demanding environment.</li> </ul> <br> Additional Information <p><br> McDonald’s is an equal opportunity employer committed to the diversity of our workforce.
