<div id="jobDescriptionText" class="jobsearch-JobComponent-description css-16y4thd eu4oa1w0"><div> Overview: <p> The Insurance and Contracts Associate Counsel provides legal advice and support under the direction of the VP, Risk Management; provides contractual risk management support on legal matters affecting the company including commercial transactions, corporate governance, and litigated matters. Must be a team player, able to work across different departments and management levels, and focus on solving business and legal problems in a timely and practical manner.</p> <p></p> <div> <br> This role will pay a salary of $143,000 to $169,000. </div> <div></div> <div> <br> For FT roles: Benefits: Health, Dental and Vision insurance, 401(k) savings plan, 401(k) matching, and paid time off (vacation days, sick days, and 12 holidays). </div> <p> Remove after Sept 15th, 2024</p> Responsibilities: <p><b><i> This position will be responsible to:</i></b></p> <ul> <li> Perform risk management in the structuring, drafting, reviewing and negotiating of company contracts, including corporate contracts, vendor sourcing, construction contracts, venue-level contracts and customer agreements. Primary focus on insurance requirements, indemnification language and other liability provisions in company contracts.</li> <li> Fully understand the Corporate Insurance structure and coverage across all operations, domestic &amp; foreign.</li> <li> Provide general support for commercial transactions.</li> <li> Respond to general legal inquiries from internal departments.</li> <li> Review and respond from a risk management perspective to Requests for Proposals (RFPs), Requests for Information (RFIs) and other similar bid documents. </li> <li>Perform research, analysis, and draft legal memoranda as requested by the VP Risk Management.</li> <li> Assist in the oversight of outside coverage counsel, including insurance claims in litigation. </li> <li>Proactively assist in the negotiating settlement of claims within evaluation and designated authority level. </li> <li>Perform legal research and provide legal coverage opinions to claims personnel involving coverage issues. </li> <li>Keep abreast of insurance coverage case law, trends and experience </li> <li>Develop and present training programs to internal departments and participate in roundtable conferences with claims personnel on legal coverage matters. </li> <li>Work collaboratively with other members of the corporate legal teams, risk management and claims teams and partners.</li> <li> Travel as necessary to attend arbitrations, mediations, settlement conferences or trials. Participate in customer service visits or to further customer service relations. </li> </ul> <div> <b>Other Duties and Responsibilities:</b> </div> <ul> <li> Special Projects: Complete special projects and other tasks as assigned by leadership.</li> <li> Continuing Education<b>:</b> Attend educational seminars and conferences. Enroll and complete continuing education programs for both professional and personal development </li> </ul>Qualifications: <p><b><i> Skill Sets / Education &amp; Experience Requirements:</i></b></p> <ul> <li> Prior general business legal experience in a law firm or in-house environment. </li> <li>Experience with drafting and negotiating contracts, commercial litigation, and/or corporate governance and transactional work. </li> <li>Deep insurance background (5+ years of insurance focus), either in claims, underwriting, or insurance product development</li> <li> Licensed to practice law in at least one jurisdiction; licensed or eligible to become licensed to practice law as in-house counsel in the State of Colorado or Commonwealth of Pennsylvania.</li> <li> Knowledge of general legal terminology and legal principles.</li> <li> Familiarity with legal concepts, statutes, and regulations.</li> <li> Experience with contract drafting and negotiation, corporate governance and transactions, and/or civil litigation.</li> <li> Ability to work independently under supervision of the VP, Risk Management.</li> <li> Strong aptitude for managing and prioritizing multiple projects and deadlines.</li> <li> Ability to function well under pressure and in a fast paced environment.</li> </ul> </div></div>
