The role will focus on M&amp;A and project finance transactions but will also include a variety of other matters. The ideal candidate will be a strong technical attorney and a pragmatic businessperson. </div> </div> </div> <div> <br> </div> <div> <div> <div> <b>Principal</b> <b> Responsibilities/Key Results Areas</b> </div> </div> <div> <ul> <li><br> Provide legal support for the company’s M&amp;A and project finance activities, including drafting and negotiating purchase and sale agreements, partnership agreements, and credit agreements, and supporting due diligence efforts. </li> <li>Assist with various other project development matters, including tax abatement efforts, interconnection agreements, permitting matters, procurement agreements, service agreements, and non-disclosure agreements. </li> <li>Support communications with outside counsels, lenders, and investors. </li> <li>Assist with various corporate and governance matters.</li> <li> Manage outside legal counsel.</li> </ul> </div> </div> <div></div> <div> <div> <div> <b><br> Financial &amp; Organizational Scope</b> </div> <div></div> <div> <b><br> Reporting Relationships &amp; Interactions</b> </div> </div> <div> <ul> <li><br> Significant direct financial impact</li> </ul> <div></div> <ul> <li><br> Reports to the General Counsel, North America</li> <li> Provides support for the following departments: Legal; Project Finance; Development; Engineering, Procurement and Construction</li> <li> Interacts with a variety of external counterparties, including outside counsels, lenders, and investors</li> </ul> </div> </div> <div></div> <div> <div> <div> <b><br> Requirements</b> </div> </div> <div></div> <div> <div> <p><b><br> Knowledge &amp; Skills</b></p> <ul> <li> Demonstrated ability to draft, review, and assist in the negotiation of M&amp;A and project finance agreements; familiarity with debt and equity financing structures generally required; familiarity with tax equity structures preferred but not required</li> <li> Familiarity with energy project agreements</li> <li> Demonstrated ability to effectively communicate with outside parties, including lenders and investors</li> </ul> </div> <div> <p><b><br> Abilities</b></p> <ul> <li> Responsive and hard working</li> <li> Ability to manage heavy workload in fast-paced environment, excellent organizational skills</li> <li> Meticulous attention to detail</li> <li> Ability to work as a team member and maintain relationships across the organization</li> <li> Clear communicator, comfortable explaining issues to junior commercial team members and presenting risks and structures to executive team</li> <li> Ability to uphold standards of discretion and confidentiality and exercise good judgment</li> <li> Entrepreneurial, creative, strategic</li> </ul> </div> <div> <p><b><br> Experience &amp; Education</b></p> <ul> <li> U.S.-credentialed law degree from a top-tier ABA accredited law school</li> <li> 3-5 years of substantial relevant experience within a top-tier law firm and/or corporate legal department (candidates with more experience will also be considered and the role may be adjusted for seniority for the right candidate)</li> <li> Experience working specifically on utility-scale solar energy and/or energy storage projects preferred but not required</li> </ul> </div> </div> <div></div> <div> <div> <b><br> O</b> <b>ther Comments</b> </div> </div> <div> <div> <p><br> Travel Required: 0 – 15%</p> <p> Location: Austin, TX office preferred; San Francisco, New York, or remote locations will be considered for the right candidate</p> </div> </div> </div> </div> </div> <div></div></div>
