The Opportunity Levenfeld Pearlstein is seeking a paralegal to support its Corporate Group. LP’s Corporate Group represents business organizations ranging from entrepreneurial operated mid-sized companies to large national and global companies. Our attorneys provide day-to-day general counseling to help clients understand and solve complex legal, tax and business issues at every stage of representation. The ideal candidate for this position will have experience with M&A transactions, excellent communication and technical skills and thrive in a team environment, while still possessing independence, initiative and drive. Key Responsibilities: Supports business and financial transactions including: Diligence activities (e.g., assist with organization of documents and records, establishing and maintaining virtual data sites for transactions, preparing closing documents and coordinating items for closing and post-closing requirements) Reviewing and monitoring transactions and checklists to confirm pertinent issues are addressed (e.g., franchise tax issues, doing business issues, timing of filings) Coordinating closing activities Review of and drafting of governance documents (all entity types and including mergers and conversions). Order, analyze UCC searches; prepare and files UCC Financing Statements Drafts ancillary transaction documents, including, but not limited to transaction resolutions, certificates, entity formation, state filings and other governance documents Prepares and files IRS documents Organizes and maintains entity records Oversees preparation of electronic closing binders Effectively utilizes the firm’s docketing system to track matters Communicates with clients and third parties throughout the course of a matter Must be able to work occasional overtime as needed Key Skills: Experience with drafting corporate documents Experience preparing and organizing closing documents Experience with Form ID and Form D filings a plus Key Attributes: Superior oral and written communication skills Strong technical skills Excellent attention to detail Excellent time management skills and ability to adjust to changing project priorities in a fast-paced and deadline-driven environment A demonstrated commitment to providing superior client service Essential Qualifications: Bachelor’s Degree or Paralegal Certificate Minimum 5-7 years of relevant corporate transactional and finance experience (will consider less experience for otherwise qualified candidate) Levenfeld Pearlstein, LLC provides equal employment opportunities to all applicants and employees in a harassment-free environment without regard to race, religion, color, national origin, gender, age, disability, sexual orientation, alienage, or veteran status.
