JOB SUMMARY The Omaha office of Kutak Rock LLP seeks a detail-oriented Corporate Paralegal to work with lawyers whose practices relate to general corporate, mergers and acquisitions, securities, and commercial lending matters. RESPONSIBILITIES Draft and file entity formation documents Handle filings with Secretary of State and other recording offices throughout the country Obtain copies of various corporate filings and records Prepare and submit Annual or Biennial Report filings Obtain employer identification numbers Draft and submit notices for publication Create and file UCC forms - Prepare, file, track and maintain UCC filings; handle UCC filing research requests in all states; prepare search result summaries Manage relationships with corporate service providers Prepare Form D, Form 10-D and other securities filings Draft closing documents, manage closing processes and prepare closing transcripts Organize and maintain electronic and paper filings Handle accounting responsibilities Consult with the supervising lawyer(s) whenever a legal judgment, legal opinion or legal advice is necessary Assist with other duties as assigned QUALIFICATIONS: Skills & Abilities Ability to organize large quantities of information Ability to work well under the pressures of deadlines and prioritize assignments Ability to thrive on challenges of fast-paced environment Ability to work both collaboratively as part of a team and independently or unsupervised Strong attention to detail Excellent spelling, grammar, and proofreading skills Excellent organizational, written and verbal communication skills Ability to handle documents and other information with confidentiality and discretion Excellent interpersonal skills with an aptitude to interface with attorneys, clients, staff, and firm visitors Proficiency in Microsoft Office suite of products, especially Word and Excel QUALIFICATIONS: Education & Experience High school (or equivalent) required; preference given to those with a Bachelor’s degree and/or successful completion of an accredited legal assistant or paralegal program Preference given to those with related work experience in law firm and/or in-house corporate law department Experience with project and information management Position Information Salary Range: $53,000-$75,000 Position Status: Non-exempt Workplace Type: Hybrid Benefits Benefits offered include: Medical, Dental, Vision, Life, Dependent Life, Disability, and Accidental Death & Dismemberment insurance.
