<div id="jobDescriptionText" class="jobsearch-jobDescriptionText jobsearch-JobComponent-description css-kqe8pq eu4oa1w0"><div> <div> VICE PRESIDENT - COUNSEL (US PRIME BROKERAGE &amp; ELECTRONIC EXECUTION) (JOB NUMBER: LEG000598) </div> <p></p> <div> <div> <br> </div> <p><b>Business Overview:</b></p> <p> The Group Legal N.A., Global Markets team provides transactional, structural, advisory and documentation support for BNPP’s Global Market businesses in North and Latin America and Canada, including with respect to Equity Derivatives, QIS, ISDA master agreements and other derivatives trading documentation.</p> <br> <p> </p> <p>The team is seeking an attorney for a permanent role to join the Equity Derivatives (EQD) Legal Team within Global Markets Americas Legal. Will consider internal mobility candidates from offices outside of New York.</p> <p><b> Candidate Success Factors:</b></p> <p> Candidates are measured on the following four performance drivers, which will dictate how individual impact is considered on the Americas platform:</p> <ul> <li>Results and Impact</li> <ul> <li>Able to influence peers and team.</li> <li>Demonstrates good judgement when making decisions of high complexity and impact.</li> <li>Exercise appropriate autonomy in the execution and delivery of work. </li> <li>Responsible for driving outcomes, which have meaningful effect on team or department.</li> </ul> <li>Leadership and Collaboration:</li> <ul> <li>Creates trust with colleagues.</li> <li>Acts in leadership capacity for projects, processes, or programs.</li> </ul> <li>Client, Customer and Stakeholder Focus: </li> <ul> <li>Able to build relationships with a mix of colleagues and clients.</li> <li>Interacts regularly with management and department leaders.</li> <li>Demonstrates the ability to influence stakeholders at the team level. </li> </ul> <li>Compliance Culture and Conduct: </li> <ul> <li>Takes full responsibility for personal actions and demonstrates courage in facing problems and conflicts.</li> <li>Perceived as a person of high moral character; upholds corporate values and displays high ethical standards.</li> </ul> </ul> <p><b>Responsibilities: </b></p> <ul> <li>Following the integration of the execution and prime brokerage business from Deutsche Bank as well as the acquisition of the remainder of the Exane equity research business, to provide legal advice and counsel to each of the (a) Cash Equities Execution business, (b) Equity Research business, and (c) Prime Services business, in each case, in NYC and support this CIB – Global Markets business line;</li> <li>Provide legal counsel as well as regulatory and strategic guidance;</li> <li>Coordinate and collaborate with external counsel to ensure internal client needs and transactional opportunities are properly resourced;</li> <li>Advise the Cash Equities Execution and Research business lines on the federal securities laws and related regulations relating to these businesses; and</li> <li>Advise and, as necessary, draft, review and/or negotiate transactional agreement, including, but not limited to, prime brokerage and margin lending master agreements, electronic trading agreements, and other bespoke commercial documentation;</li> </ul> </div> <p></p> <div> <div> <br> </div> <p><b>Minimum Required Qualifications:</b></p> <ul> <li>Law degree from an accredited law school;</li> <li>Admission to New York bar;</li> <li>5+ years of experience practicing corporate or commercial law;</li> <li>Superior academic credentials;</li> <li>Experience advising on legal and regulatory issues relating to an equities trading business; and</li> <li>Familiarity with the federal securities laws, including the Securities Act and the Securities Exchange Act.</li> </ul> <br> <p></p> <p><b> Preferred Qualifications: </b></p> <ul> <li>Prior experience in an in-house environment;</li> <li>Experience advising a Cash Equities Execution business as well as an Equity Research business on relevant securities laws;</li> <li>Experience with prime brokerage agreements and electronic trading agreements;</li> <li>Familiarity with the Uniform Commercial Code</li> <li>Demonstrated ability to act independently yet possess judgment to recognize when to escalate issues for review, guidance and/or resolution;</li> <li>Exceptional professionalism and a strong work ethic; and</li> <li>Very strong interpersonal skills and the ability to successfully work with internal stakeholders and colleagues to contribute ideas, identify opportunities and contribute to correct outcomes.</li> </ul> <p></p> <p><b>FINRA Registrations Required:</b> </p> <ul> <li>Not Applicable</li> </ul> <p><b>CFTC Swap Dealer Associated Person (if yes, NFA Swaps Proficiency Program is required): </b></p> <ul> <li>Not Applicable</li> </ul> <p><b>SEC Security-Based Swap Dealer Associated Person:</b></p> <ul> <li>Not Applicable</li> </ul> <p></p> <p><i>The expected starting salary range for this position is between $182,000 to $243,000 annually.
