<p>The Commercial Trading Counsel is responsible for providing comprehensive legal support to the commodity trading operations of the company. This includes ensuring compliance with relevant regulations, drafting and negotiating various agreements, and mitigating legal risks. The counsel will work closely with traders, compliance officers, and other stakeholders to support the company's trading activities in a legally compliant and efficient manner.</p>

<li>Identify and analyze legal issues and risks, providing clear and well-reasoned recommendations that reflect an understanding of the company's business and risk mitigation.</li>

<li>Communicate effectively with all levels of the organization, including commercial, trading control, contract management and credit teams.</li>
<li>Ensure compliance with commercial agreements and trading regulatory regimes.</li>

<p><b> Required Education and Experience</b></p>
<ul>
<li>Juris Doctorate (JD) from an accredited law school.</li>
<li>Minimum of 3-5 years of relevant experience in commercial, corporate, and/or transactional legal practice.</li>
<li>Admission to the TX State Bar.</li>
</ul>

<p><b><br> Preferred Qualifications:</b></p>
<ul>
<li>2-3 years of training at a nationally or regionally recognized law firm.</li>
<li>2-3 years of corporate (in-house) experience.</li>
<li>Knowledge of and experience advising companies in power generation industry.</li>

</div>

<p><b> Required Experience</b></p>
<ul>
<li>Proficiency with NAESBs, ISDAs, applicable annexes/schedules, and long form confirmations</li>
<li>Experience with First Lien ISDAs</li>
<li>Familiarity with AMAs, PPAs, EMAs</li>
<li>Experience with related credit support documentation (guarantees, LCs, etc.)</li>
<li>Knowledge of Dodd-Frank and trading compliance</li>
<li>Understanding of FCM and Broker agreements</li>
<li>Experience with transportation, storage and other pipeline related agreements</li>
<li>Experience with RECs, RGGIs, and other products in power and related markets</li>
