Based in New York City, it has over forty offices in the United States and London and oversees some $95 billion in client assets. </div> Position: <div> The Corporate Counsel is responsible for providing corporate and transactional legal advice and support across the Rockefeller Capital Management enterprise. The Corporate Counsel will partner with members of the legal team and others across Rockefeller Capital Management (including the senior executive team) on corporate transactions, contract drafting and negotiation, governance matters, and other key business initiatives in this innovative firm at the cutting-edge of the financial services industry. </div> Responsibilities: <ul> <li>Draft, negotiate, and assist with implementation of various contracts, such as complex commercial contracts, vendor contracts, employment contracts, NDAs, and other contracts in support of Rockefeller’s growing businesses.</li> <li>Analyze, draft, and review complex credit facility documentation.</li> <li>Advise senior business executives on interpreting and administering complex contracts and credit facility documentation.</li> <li>Assist with corporate governance matters, including preparing Board resolutions, taking Board and Committee Minutes, forming new legal entities, maintaining applicable state and local registrations and licenses for legal entities, and maintaining authorized officers and signatories across legal entities.</li> <li>Assist with drafting and processing needs in connection with Advisor promissory note program, including preparing draft promissory notes, repayment statements, interest rate adjustment notifications, amortization schedules, and other forms, letters, and documents from Rockefeller’s standard forms and templates. </li> <li>Assist General Counsel and Deputy Counsel on enterprise-wide legal matters, including key corporate transactions and various drafting and analysis projects in support of business initiatives.</li> </ul> Qualifications: <ul> <li>JD from a top tier law school </li> <li>2-5 years of prior legal experience at a top law firm</li> <li>Experience working on complex transactions, such as prior legal experience in an M&amp;A practice or in a specialty practice that supports an M&amp;A practice</li> <li>Experience with corporate governance matters, such as preparing resolutions and forming legal entities, a plus</li> <li>Experience engaging directly with senior executives a plus</li> </ul> Skills: <div> <br> <ul> <li>Excellent organizational skills, attention to detail, and project management skills. You genuinely believe that details matter, and that getting the little things right is a precursor to getting the big things right. </li> <li>Superior legal drafting skills and oral and written communication skills. You enjoy translating legal complexities into actionable guidance for business colleagues and decision-makers. </li> <li>Strong interpersonal skills and the ability to engage collaboratively with various partners, including fellow attorneys, colleagues in support functions (e.g., Human Capital, Finance, Compliance, Technology), and business leaders. You believe getting along with people and being approachable makes you a better lawyer.</li> <li>Ability to work autonomously in a fast-paced work environment and to advise stakeholders on legal risks and key decisions in order to meet deadlines.</li> <li>Ability to work independently and drive projects, identify and resolve issues, and earn the confidence and cooperation of business and legal colleagues.</li> <li>Willingness to learn and grow to meet the needs of a dynamic corporate legal and compliance team within a growing organization.</li> </ul> </div> Compensation Range: <div> The anticipated base salary range for this role is $225,000 - $250,000. Base salary for the role will depend on several factors, including a candidate’s qualifications, skills, competencies, and experience, and may fall outside of the range shown. In addition, this role may be eligible for a discretionary bonus.
