This new role of Senior Legal Counsel, Corporate will be primarily responsible for providing corporate law and related support for our xScale business within the Equinix business, which is a series of joint ventures with different capital partners to build and operate large scale data centers for a select group of cloud service and technology providers (hyperscaler) customers, working with business support functions, in particular for Corporate Development, Finance, Tax and Treasury functions, that also support our xScale business.</p> <p></p> <p><b> Responsibilities</b></p> <ul> <li><p> Support for any third-party debt financing activity taking place in the xScale organization around the world.</p></li> <li><p> Support for corporate law aspects of M&amp;A transactions, joint ventures and other growth projects around the world, and primarily in the AMER region.</p></li> <li><p> Having a sound understanding of business decisions related to the company's status as a US Real Estate Investment Trust (REIT). No need for prior knowledge of US REITs (although this would be a plus).</p></li> <li><p> Assisting with issues and analysis related to customer agreements, and any impact that they have on debt financing arrangements, and vice versa.</p></li> <li><p> Supporting corporate structuring projects impacting upon the Equinix group legal entities from time to time, in particular for the support of the global xScale business, including incorporating new legal entities, undertaking company statutory mergers or transfers of assets, undertaking share recapitalisations as required, etc.</p></li> <li><p> Liaison with external legal counsel in various jurisdictions engaged to provide legal support for the various activities referred to above, in particular on large scale debt financing transactions and/or where local law input is required.</p></li> <li><p> Liaison with other Equinix One Legal personnel in coordinating on corporate legal matters, including in the US, regarding SEC filings, 8K disclosures, review of 10K and 10Q filings etc.</p></li> <li><p> Liaising with other Equinix One Legal personnel worldwide and in region in coordinating on other corporate legal matters.</p></li> <li><p> Serving as a Legal department spokesperson to Equinix and external party senior leaders, presenting and influencing them as necessary, to advance the Legal department's interests and image.</p></li> <li><p> Planning, coordinating, and reporting on the status of assigned Legal initiatives and projects in these areas of responsibilities including managing administration and related resources (e.g., staff and budget).</p></li> <li><p> Report on legal activity in relation to areas of responsibility to Vice President, Legal, Corporate &amp; Tax.</p></li> </ul> <p></p> <p><b> Qualifications</b></p> <ul> <li><p> Degree qualification, with solid post qualification experience (5-7 years) in corporate law from a middle or top tier law firm and/or a large multi-national organization is essential.</p></li> <li><p> Experience of working in an in-house legal role in a dynamic business environment is strongly preferred.</p></li> <li><p> Experience in debt financing, IT, telecom and/or real estate industry are preferred.</p></li> <li><p> Strong communication and relationship building skills, and experience (internal or external) working with other business focused personnel is essential.</p></li> <li><p> Strong attention to detail.</p></li> <li><p> Strong ability to organize and prioritize tasks and workload, and good administrative skills. Ability to work with tight deadlines.</p></li> <li><p> Strong ability to take a pragmatic and commercial approach. Ability to multi-task and work with limited supervision.</p></li> <li><p> General working knowledge of financial spreadsheets, accounting rules (revenue recognition etc.) is desirable.</p></li> <li><p> Good presentation skills; and General working knowledge of databases, e.g. Access databases etc. IT proficient in relation to all MS Word packages, and good typing.</p></li> </ul> <p></p> <p> Equinix is committed to ensuring that our employment process is open to all individuals, including those with a disability.
