That’s why we’re a leader in next-generation cybersecurity. </div> <div></div> <div> Protection Starts with People. </div> <div></div> <div> The Role and the Team </div> <div> The Proofpoint Legal Department is dedicated to providing expert legal advice in a fast-paced business environment and supporting Proofpoint’s crucial mission of enabling organizations across the world to defend, protect, archive, and govern their most sensitive data. This position will report to a Director, Legal. The Corporate Counsel role is an important part of building the culture and success of the legal function to help drive Proofpoint’s growth. </div> <div></div> <div> The Corporate Counsel will join a collaborative and experienced legal team and will interact with cross-functional teams, peers, junior colleagues, and other staff to enable their development and the enhancement of our commercial legal support processes. The successful candidate will be comfortable leading Proofpoint teams on deals, interacting with internal and external executives, and making agile and practical decisions that comply with company standards, policy, and strategy. </div> <div></div> <div> Your Day to Day: </div> <ul> <li> <div> Draft, review, and negotiate a broad range of commercial, revenue-generating agreements, including SaaS, software, channel, and other service agreements (~80%). </div></li> <li> <div> Provide legal analyses of applicable laws, regulations, and industry guidance that impact customer license and services agreements, and assist the team in strengthening its capabilities and services efficacy through Legal Operations guidance and implementation of best practices (~10%). </div></li> <li> <div> Assist in development and implementation of various legal templates, forms, communications, and operational systems to improve the delivery and scalability of legal resources to a worldwide, distributed client base by working collaboratively with other legal team members and internal constituents (~5%). </div></li> <li> <div> Proactively communicate issues back to leadership and drive sound business, legal, and operational processes, and practices throughout the organization; drafting and implementing related policies; travel as requested (~5%). </div></li> </ul> <div></div> <div> The How: </div> <ul> <li> <div> Excellent negotiation and diplomacy skills, including ability to build consensus, “soft” skills to encourage, motivate and influence at all levels of the organization and those of our customers and partners. </div></li> <li> <div> Strong analytical and drafting skills with keen attention to detail and the ability to improve our forms and demonstrate flexibility in potentially using customer or partner paper. </div></li> <li> <div> Effective communication in person, in groups, over email, and in more formal documentation. </div></li> <li> <div> Highest degree of personal and professional integrity and ethics. </div></li> <li> <div> A practical, creative, and proactive problem solver who is confident and poised and a consummate team player. </div></li> </ul> <div></div> <div> What you bring: </div> <ul> <li> <div> Experience with commercial technology transactions (SaaS and Software) with Fortune 1000 companies and channel (Reseller, VAR, MSP, OEM, SI, etc.) programs and relationships required. </div></li> <li> <div> Experience partnering (and developing rapport) with sales teams in a fast-paced environment that requires sound judgment, excellent counseling skills, and ability to prioritize matters. </div></li> <li> <div> 7 years+ experience as a licensed attorney, with previous in-house experience strongly preferred. </div></li> <li> <div> Law firm (AMLAW 200 or equivalent) experience preferred, especially in business transactions, litigation, intellectual property, and/or licensing. </div></li> <li> <div> Experience handling data privacy and security issues. </div></li> <li> <div> Member in good standing of the applicable State Bar. </div></li> </ul> <div></div> <div> Why Proofpoint </div> <div> Protecting people is at the heart of our award-winning lineup of cybersecurity solutions, and the people who work here are the key to our success. The range provided may represent a candidate range and may not reflect the full range for an individual tenured employee. This role may be eligible for variable pay and/or equity. We offer a competitive benefits package that includes flexible time off, a robust well-being program that provides for 4 global wellbeing days per year, and a 3-week work from anywhere option. </div> <div> Base Pay Ranges: </div> <div></div> <div> SF Bay Area, New York City Metro Area: </div> Base Pay Range: 157,650.00 - 231,220.00 USD <div></div> <div> California (excludes SF Bay Area), Colorado, Connecticut, Illinois, Washington DC Metro, Maryland, Massachusetts, New Jersey, Texas, Washington, Virginia, and Alaska: </div> Base Pay Range: 129,000.00 - 189,200.00 USD <div></div> <div> All other cities and states excluding those listed above: </div> Base Pay Range: 117,600.00 - 172,480.00 USD </div></div>
