POSITION SUMMARY The Paralegal will assist attorneys and other paralegals in all corporate transactions to include preparing basic corporate documents, retrieving, reviewing, and distributing documents in all matters relating to corporate transactions. Observe confidentiality of client matters. Keep accurate time records. CORPORATE RESPONSIBILITIES Follow the ethical requirements as set forth by the Rules of Professional Conduct of the State. Drafting of basic incorporation/formation documents, amendments and foreign registration documents for Corporations, LLC’s, LP’s and LLP’s. Drafting of basic dissolution and withdrawals filings for Corporations, LLC’s, LP’s and LLP’s. Conduct UCC searches, analyze search results and prepare UCC search results charts. Prepare UCC-1 and UCC-3 financing statements, including exhibits. Draft and file annual reports in all states. Attend to saving Commitment Letters, Subscription Agreements, Side Letters and Dual Commitments to iManage. Compile execution versions of necessary agreements ahead of closing date. Preparation of stock certificates. Assist with Due diligence review. Assist with organization of and mailing of IRS 83(b) Elections. Prepare SS4 Applications and apply to IRS for Employer Identification Numbers. Prepare closing index and closing binders, including digital and hard copy and distribution to interested parties. Conduct state research to determine corporate status of companies. Ability to work with external corporate vendors to handle attorney and client requests, including managing, processing, and payment of vendor invoices. Proofread, redline, and compare documents to include, but not limited to charts, reports, client letters, etc. Prepare correspondence and external written communication to distribute various corporate documents, certifications, UCC statements, and original collateral. Attend and assist in corporate closings, including compiling and organizing signature packets for execution by parties. Assist with DocuSign of client documents. Provide notary public services, if commissioned. BASIC QUALIFICATIONS (must be listed on resume to be considered) Bachelor’s degree required. Two plus years of Corporate Paralegal job experience in a professional environment required. Must live within a commutable distance to the local office required. COMPETENCIES Knowledge of Microsoft Office Suite, Adobe acrobat and Excel. Ability to organize and prioritize numerous tasks and complete them under time constraints. Ability to concentrate and pay close attention to detail when performing duties. Ability to proofread typed material for contextual, grammatical, typographical or spelling errors. Interpersonal skills necessary in order to communicate in person, by e-mail and telephone and follow the instructions effectively from a diverse group of clients, attorneys and staff and provide information with ordinary courtesy and tact. Work occasionally requires a high level of mental effort and strain while organizing and maintaining multiple cases. Ability to retrieve and distribute print volumes, push and pull packages and books weighing up to 20 pounds, and ability to retrieve and replace objects from shelves of up to 8 feet high. Work occasionally, and with little notice, may require more than 35 hours per week to perform the essential duties of the position; may also require irregular hours. Ability to travel to private and public buildings, locally and nationwide, via private or public conveyance to assist attorney in attending to client needs on legal matters. The amount of compensation offered will be determined by several factors, including but not limited to experience, qualifications ,market data and internal equity. Total compensation may include an annual discretionary merit bonus, yearly retirement plan contribution, and a comprehensive benefits package. We value diversity in the workplace.
