<p>The Corporate Counsel is a “can-do,” positive individual who will be a key member of the governance, securities, and public reporting team, reporting to the VP Corporate Counsel. They will assist on a broad array of corporate legal issues, including Securities Exchange Act reporting, securities offerings, corporate governance, disclosure, and other general corporate legal matters. The Corporate Counsel will be an integral part of the Company’s legal team, working closely with various business functions (including finance and accounting, tax, sustainability, and HR) and external counsel to provide practical and expert legal advice, as part of our company’s mission to help people experience the world. </p>

<p><b>In this role you will get to:</b></p>
<ul>
<li><p>Advise on public company compliance with U.S. federal securities laws and reporting, including the preparation and review of periodic reports, proxy statements, and other filings.</p> </li>
<li><p>Coordinate internal corporate projects, including preparation of board resolutions, intercompany transactions, and maintenance of corporate entities.</p> </li>
<li><p>Preparation of board of director and committee meeting materials.</p> </li>
<li><p>Work cross-function globally with finance, accounting, tax, HR, and sustainability teams to create board materials, meet reporting obligations, and general corporate governance requirements.</p> </li>
<li><p>Provide support for financing transactions.</p> </li>
<li><p>Provide well-reasoned and practical advice and support on various legal matters to other members of the legal team and senior management.</p> </li>
<li><p>Be part of a proactive, highly skilled team that is action-oriented and has an excellent reputation within a large, multinational organization.</p> </li>
</ul>
<p><b>What you have:</b></p>
<ul>
<li><p>Bachelors Degree</p> </li>
<li><p>Work experience in the field 5+ years</p> </li>
<li><p>General corporate and public company securities experience gained through law firm and/or corporate law department work.</p> </li>
<li><p>You are a “gatekeeper” who offers pragmatic solutions combining strong legal issue identification, advice, and problem-solving skills.</p> </li>
<li><p>You’re proactive, energetic, and self assured with high personal integrity and the ability to work well in a team environment while taking ownership of your tasks.</p> </li>
<li><p>You can build trusted relationships and communicate clearly and concisely to the various global audiences across our Company.</p> </li>
<li><p>J.D. from a nationally recognized law school and excellent academic credentials.</p> </li>
<li><p>Admission to a State Bar of any jurisdiction in the United States with the ability to register as authorized house counsel in Connecticut.</p> </li>
<li><p>Ability to read and understand financial statements</p> </li>

<p>There are a variety of job related factors that go into determining a salary range, including but not limited to external market benchmark data, geographic location, and years of experience sought/required. In addition to a competitive base salary, roles are eligible to be considered for an annual bonus and equity grant.</p>

<p>The base salary range for Connecticut and the NYC-metro area is $212,400-$259,600.</p>
