This experienced and strategic professional will advise on the legal implications of transaction initiatives and strategies for Wharton's various non-academic units, including Wharton Executive Education, Wharton Online, Wharton Interactive, Wharton Global Youth Program, and others. In particular, this position includes drafting, reviewing, revising, and negotiating complex domestic and international contracts and other business documents for in-person and virtual/online educational programs to ensure compliance with law and University policy as it relates to intellectual property ownership / licensing, counterparty diligence and effective risk management, course delivery, information and materials, technology, vendor/supplier relationships, organizational structure, and strategic transactions. <br> <br> Job Description <br> <br> Advise on the legal implications of transaction initiatives and strategies for Wharton's various non-academic units, including Wharton Executive Education, Wharton Online, Wharton Interactive, Wharton Global Youth Program, and others. <br>Drafting, reviewing, revising, and negotiating complex domestic and international contracts and other business documents for in-person and virtual/online educational programs to ensure compliance with law and University policy as it relates to intellectual property ownership / licensing, counterparty diligence and effective risk management, course delivery, information and materials, technology, vendor/supplier relationships, organizational structure, and strategic transactions. <br> <br> Qualifications <br> <br> J.D. from an accredited law school <br>3-5 years of demonstrated experience as a practicing attorney (preferably a mix of law firm and in-house experience). Experience in higher education is welcome, but not required, as this is an excellent opportunity to join the University of Pennsylvania OGC as a junior attorney from another industry. <br>The ability to independently handle transactions, and other legal matters, as well as superior skills drafting and negotiating "fee for service" contracts - with particular familiarity with contractual provisions surrounding copyright ownership / licensing, brand protection, data privacy / protection (e.g., GDPR), IT security, indemnification, insurance, and international issues. <br>Background in performing due diligence, evaluating risk, and engaging in cross-functional initiatives highly preferred - particularly in the international context. <br>This position requires the appropriate mix of humor and gravity, as the situation dictates; strong critical thinking and strategic skills; excellent legal analysis and reasoning skills; a proactive approach to problem solving; the ability to be a "team player" on multiple teams playing different sports concurrently; excellent attention to detail; a willingness to engage in follow-through and closure of transactions; impeccable oral and written communication skills, especially negotiation skills; superior organizational skills; the ability to handle multiple priorities in a dynamically fluid environment; and the ability to identify, frame and solve complex legal issues creatively and to convey advice clearly and effectively. <br>Must be admitted and in good standing in Pennsylvania or other state bar; admission to Pennsylvania Bar is required within one year of appointment. <br>This position reports to, and resides at, the University of Pennsylvania's Office of General Counsel; daily activities of this position are directed by the General Counsel, in coordination with the Wharton School. <br> <br> <b>Application Requirement :</b> <br> A Cover Letter and Resume/CV are required to be considered for this position.
