<p><b>Business Overview:</b></p>
<p>The North America Legal department is based in New York/New Jersey and Montreal. The Wholesale Americas General Counsel heads legal coverage for BNP Paribas CIB and Asset Management in North America. The team comprised of approximately 85 members of staff advises on a broad range of legal matters for the entities within its scope, including providing legal advice to management, business and the functions with respect to commercial and own account activities, and contributing to the Bank's influence on applicable legislative or market wide regulatory initiatives. The team provides legal and regulatory watch and maintains a legal risk management framework, including associated procedures and controls.</p>

<p>Securities Services is a multi-asset servicing specialist committed to helping clients achieve their ambitions both in terms of investments and cross-border distribution. It maintains a network covering over 90 markets with local expertise in 35 countries. The Securities Services’ Legal Department is part of an international team which provides support across a wide range of products and services to institutional clients that include custody, agency lending, and fund administration/accounting<b>.</b></p>

<p><i>The expected starting salary range for this position in New York/New Jersey is between $180,000 to $220,000</i><i> </i><i>annually. The actual salary may vary based upon several factors including, but not limited to, relevant skills/experience, time in role, base salary of internal peers, prior performance, business line, and geographic/office location.</i></p>

<li>Providing legal support and advice to Securities Services in respect of its products and critical business initiatives, related to: Clearing & Custody Services; Corporate Trust Services; Fund Servicing; Agency Securities Lending Services; Foreign Exchange Transactions; and Collateral Management.</li>

<li>Monitoring and analyzing regulatory developments and requirements related to Securities Services’ products and business in general.</li>

<li>Advising business with respect to legal matters which affect clients who are regulated by the Investment Advisors Act of 1940.</li>

<li>Negotiating, drafting, and reviewing complex service contracts, fund documentation, and collateral agreements such as: global custody agreements, administrative services agreements; MRAs, securities lending agreements; collateral management agreements; and issuing and paying agency agreements and online portal agreements.</li>

<li>Reviewing and analyzing legal opinions, drafting of bespoke language, and liaising with external counsel to obtain updated opinions.</li>

<li>Collaborating with the credit, risk and product management teams in the US and internationally on developing new products and advising with regards to US securities law, cross-border perfection requirements and insolvency issues.</li>

<p><b>Minimum Required Qualifications</b></p>
<ul>
<li>Law Degree (JD or LLM) </li>
<li>Member of the New York or New Jersey Bar</li>
<li>At least 6+ years’ experience working in the financial services industry either in-house or in with a law firm. </li>
<li>Strong organizational, negotiation and drafting skills </li>
<li>Pragmatic and practical approach to legal risk and legal issues, together with sound commercial judgement</li>
<li>Ability to partner and collaborate with business teams and functions in the US and abroad</li>
</ul>

<p><b>Preferred Qualifications; </b></p>

<li>Experience negotiating fund administration, custody, clearing and settlement, derivatives clearing, stock lending, collateral management, and FX transaction documentation helpful</li>
