<div id="jobDescriptionText" class="jobsearch-jobDescriptionText"><div> Responsibilities: <div> Principal is seeking Counsel to work with corporate officers and the Law Department governance team on a broad range of legal and compliance matters, including those resulting from the company’s status as a publicly traded company. </div> <div></div> <div> <br> In this opportunity you’ll have the opportunity to: </div> <ul> <li> Support affiliated entity Boards of Directors and company committees, including serving as meeting secretary, handling a range of corporate governance matters and assisting with the preparation of board/committee materials</li> <li> Support the preparation for annual stockholder meeting, including assuming an important lead role with the drafting and filing of the proxy statement</li> <li> Serve as lead counsel on matters impacting corporate securities filings and assist in the preparation and filing of SEC reports, including Forms 10-K, 10-Q, 8-K, S-8, Schedules 13G and 13F, and Section 16 filings</li> <li> Serve as secretary to the Conflicts of Interest Committee and support this Committee in its role administering relevant portions of the Global Code of Conduct</li> <li> Administer company’s annual conflicts of interest disclosure survey and help address conflicts questions</li> <li> Work closely with HR and Compensation teams on equity plans and administer Insider Trading Policy (including restricted lists and preclearance protocol) and 10b5-1 plans</li> <li> Serve as secretary to the ESG Taskforce and help support overall company ESG initiatives and issues</li> <li> Collaborate with the Finance, Accounting, Investor Relations and Communications teams on communications such as earnings releases and calls, press releases and investor presentations</li> <li> Participate on teams solving for risk factor and related disclosure issues, including Disclosure Committee</li> <li> Help ensure company compliance with SEC and Nasdaq rules and regulations</li> <li> Collaborate with others on international subsidiary governance and secretarial matters</li> <li> Support the corporate governance integration for mergers and acquisitions</li> <li> Collaborate with and manage outside legal counsel on corporate and securities matters</li> </ul> <div> Willing to hire at a different level based on experience. </div> Qualifications: <div> We’re looking for someone with: </div> <ul> <li> Requires JD and 5+ years’ experience as an attorney</li> <li> 7+ years’ experience is preferred</li> <li> Exposure to corporate governance in a public company is preferred</li> <li> Must be admitted to practice in the state employed within twelve months of hire</li> <li> Requires knowledge of the relevant area of law and its application</li> <li> Must be able to work as a member of a team and independently on a self-motivated basis</li> <li> Requires superior written and verbal communication skills</li> <li> Must be able to apply knowledge of the law to make sound judgments, communicate, and interact with others in a professional manner</li> <li> Some travel may be required</li> </ul> Salary Range Information: Salary ranges below reflect targeted base salaries. Non-sales positions have the opportunity to participate in a bonus program. Sales positions are eligible for sales incentives, and in some instances a bonus plan, whereby total compensation may far exceed base salary depending on individual performance. Actual compensation for all roles will be based upon geographic location, work experience, education, licensure requirements and/or skill level and will be finalized at the time of offer. Salary Range: $127000 - $179000 / year Additional Information: <div> <b> Location / </b> <b>Work Environment</b> </div> <div> This role offers the ability for in-office, hybrid (blending both office and remote work in a typical workweek), and remote work arrangements. You’ll work with your leader to determine which option may align best based on several factors.
