Job Title Mid-Level Associate (Lawyer), Asset Management (Private Funds) Job Summary Ropes & Gray LLP’s San Francisco, CA office has multiple positions open for a Mid-Level Associate (Lawyer), Asset Management (Private Funds). Duties/Responsibilities Advise clients on the formation, marketing and management of domestic and international private investment funds including private equity buyout funds, venture capital funds, special situations funds, debt funds, secondary funds, hedge funds, real estate funds, hybrid funds and funds of funds. Represent private fund sponsors in the United States in a wide range of corporate matters including structuring, operations and governance of their funds and management companies, succession planning, carried interest arrangements, employee investment programs, marketing arrangements and limited partner transfers. Advise private fund sponsors on compliance and regulatory issues. Represent registered advisers in connection with ongoing SEC reporting and compliance matters and regulatory investigations, inquiries and examinations. Represent institutional investors in connection with the review and negotiation of fund terms, rights and other considerations relating to proposed investments in leading private equity, venture, real estate, energy and hedge funds. Advise investors on co-investment opportunities and advisory committee issues. Represent buyers and sellers in their secondary market activities. Supervise Junior Associates. Required Skilled/Abilities Juris Doctor (JD) degree, Master of law (LLM), or foreign equivalent and 3 years of law firm experience in the position offered or related position, including 3 years of law firm experience with: working on U.S. private investment funds; drafting and negotiating documents in connection with the formation of investment funds including partnership agreements, limited liability company agreements, side letters, investment management agreements, subscription agreements, private placements and related fund marketing materials; advising fund sponsors on compliance and regulatory issues; and assisting in representing clients in transactional matters including co-investments, continuation funds, transfer/assignment and assumption agreements, and/or secondary transactions. Must have 1 year of experience with: assisting in representing institutional investors in connection with the review and negotiation of fund documents relating to proposed investments in private investment funds. Must be member of the California State Bar. Must successfully pass preemployment (post-offer) background check. Compensation The anticipated pay range for this position is $310,000 - $365,000 / year, which represents our good faith and reasonable estimate of the starting salary range at the time of posting.
