The Attorney, Corporate Generalist – Commercial Transactions, will be responsible for risk mitigation, compliance to the Vitamix risk philosophy, meeting legal standards and achieving corporate objectives for Vitamix’s International Household, Finance, and Operations teams. They will collaborate with supported departments to drive all legal matters pertaining to contracts, compliance, intellectual property, channel management, and dispute resolution. The Attorney will work in collaboration with the organizational leaders and other members of the legal team to achieve business objectives while also mitigating legal risk and ensuring compliance with local, state, and federal law. The successful candidate will have knowledge of the basic laws applicable to contract interpretation and negotiation, mergers and acquisition, marketing, and corporate governance with the ability to evaluate practical consequences of legal strategies. **Duties & Responsibilities:** * Drafts, negotiates, and reviews contracts and amendments and provides advice to Vitamix management regarding same. * Assists General Counsel with corporate governance and necessary corporate actions including providing general governance and regulatory advice related to board and committee meetings and management. * Assist with the administration of affiliate and subsidiary entities. * Provides legal support for corporate restructuring and reorganizations. * Manages legal aspects of intercompany transactions, parent company guarantees, and company financing arrangements. * Assists the International Household Team with expansion into new geographies and sales channels. * Provides counsel to business unit leadership with respect to compliance and regulatory issues including, but not limited to, Vitamix’s Finance, Supply Chain Operations, and International Household Teams. * Provides training on legal issues to Vitamix Employees. * Assists other members of the legal department in prosecuting and defending legal claims and litigation. **The ideal candidate will also possess:** * Alignment with Vitamix’s culture and CORE which defines its Purpose, Mission, and Values. * Proficiency in Microsoft Office Suite. * Expertise around Vitamix competencies: Accountability, Critical Thinking, Drive for Results, Conflict Resolution, Decisiveness, and Trusted Advisor. * Proven experience selecting and managing counsel. * The ability to research Federal State, Local, and International laws, codes, regulations, and court decisions. * Litigation and/or claims management experience. * Excellent verbal and written communication skills with the ability to convey information to internal and external customers in a clear, focused, and concise manner. * The ability to present technical information and effectively communicate within all levels of the organization. * The proven ability to identify, analyze, and solve problems. * The ability to think strategically and drive ideas into action. * 3-5 years related experience. * Admission to the bar in at least one state and ability to represent corporations in Ohio. * Juris Doctorate from an accredited Law School. _To perform this job successfully, an individual must be able to perform each essential duty satisfactorily.
