This lawyer will be a senior member of our existing team of securities and corporate lawyers and paralegals and will be instrumental in managing and supporting our securities, general corporate, transactional, and corporate governance matters. Very strong writing and editing skills required. </div> <div></div> <div> Work Locations: </div> <ul> <li> <div> Cambridge, MA </div></li> <li> <div> San Francisco Bay Area office locations </div></li> <li> <div> Remote US </div></li> </ul> <div></div> <div> Responsibilities: </div> <ul> <li> <div> Lead U.S.-based corporate/securities team. </div></li> <li> <div> Draft and provide counsel in support of SEC and NASDAQ filings and coordinate with Asia-based colleagues on securities law and stock exchange filings with HKEx and STAR Market, including current and periodic reports and announcements, proxy statements, and other regulatory filings and reports. </div></li> <li> <div> Serve as a subject matter expert on compliance and disclosure items and advise on and draft new disclosures; coordinate and assist with financial disclosures; and review public announcements, including press releases, corporate, investor and scientific presentations, and communications with internal and external stakeholders. </div></li> <li> <div> Provide legal support on various types of transactions, including equity investments, joint ventures, credit facilities, corporate financing, corporate restructurings, and mergers and acquisitions, including due diligence, negotiation of terms, drafting of documentation, and regulatory filings. </div></li> <li> <div> Support the Company’s environmental, social and governance (ESG) and other corporate governance efforts. </div></li> <li> <div> Assist with Board and committee meetings, the Company’s Insider Trading Policy, and other corporate policies. </div></li> <li> <div> Provide counsel in support of the Company’s equity plans and programs and grant agreements, including securities law compliance and disclosure. </div></li> <li> <div> Assist with the development and upkeep of relevant securities, general corporate, and corporate governance agreements and forms. </div></li> <li> <div> Oversee the coordination and maintenance of records for all due diligence requests and the Company’s electronic datarooms. </div></li> <li> <div> Engage and manage the work of outside counsel and advisors. </div></li> </ul> <div></div> <div> Education Required: </div> <ul> <li> <div> Juris Doctor from an accredited law school in the U.S. </div></li> <li> <div> 7+ years of SEC reporting experience at a law firm and/or as in-house counsel. Experience with biotech or pharma companies strongly preferred. </div></li> </ul> <div></div> <div> Computer Skills: </div> <ul> <li> <div> Proficiency in the Microsoft Office Suite, Outlook, Word, Excel, SharePoint, EDGAR, Workiva </div></li> </ul> <div></div> <div> Other Qualifications: </div> <ul> <li> <div> Strong leadership and management skills and experience. </div></li> <li> <div> Excellent drafting, editing, negotiation, interpersonal and communication skills. </div></li> </ul> <ul> <li> <div> Evaluate legal exposure, manage risk, and interpret and apply laws, regulations, case law, statues, and policies to provide expert advice. </div></li> <li> <div> Strong business acumen; ability to contribute strategically to the Company’s business. </div></li> <li> <div> Team player with ability to collaborate proactively with cross-functional teams and interact effectively with all levels within the Company. </div></li> <li> <div> Strong working knowledge of U.S. securities laws and regulations and the ability to quickly learn, interpret and apply changes in such laws and regulations and policies. </div></li> <li> <div> A demonstrated ability to collaborate, as well as to work independently, balancing competing priorities in a fast-paced, deadline-driven environment with a high level of professionalism. </div></li> <li> <div> Detail-oriented. </div></li> <li> <div> Ability to handle confidential and proprietary information using excellent discretion and judgment. </div></li> <li> <div> Self-motivated, able to work independently and be reliable and responsive. </div></li> <li> <div> Ability to be flexible and willing to accept new responsibilities as needed. </div></li> <li> <div> Chinese language skill is a plus but is not required. </div></li> </ul> <div></div> <div> Travel: Up to 10% </div> <div></div> <div> Competencies: </div> <div></div> <div> Ethics - Treats people with respect; Inspires the trust of others; Works with integrity and ethically in accordance with BeiGene’s Code of Conduct, policies and procedures. </div> <div></div> <div> <br> Planning/Organizing - Prioritizes and plans work activities; Uses time efficiently.
