<div id="jobDescriptionText" class="jobsearch-jobDescriptionText" dir="ltr"><div> <div> <div> <b>Deputy General Counsel, Securities and Capital Markets</b> </div> <div></div> <div> The Deputy General Counsel, Securities &amp; Capital Markets is responsible for supporting lines of business and departments throughout the organization, including on matters involving securities law, corporate law, and capital markets. It manages corporate risk and provides, either directly or indirectly, support for compensation and benefits. The position is charged with delivering cost-efficient ways to address legal issues, reduce outside legal cost and understand the complex legal issues affecting the internal business units. </div> <div></div> <div> <b>Responsibilities</b> </div> <ul> <li>Prepares or supervises the preparation of securities filings, such as Section 16 filings, Form 8-K and Form S-8, as well as the proxy statement and annual shareholder meeting materials.</li> <li>Works with Finance and other groups in connection with the preparation of filings such as Form 10-K, Form 10-Q and Form 11-K.</li> <li>Provides counsel in connection with capital management, share repurchases, debt and equity issuances, and other finance-related matters.</li> <li>Prepares or supervises the preparation of NYSE reports.</li> <li>Advises executive management on the legal requirements and implications of securities matters.</li> <li>Supports Investor Relations in connection with earnings calls and conferences, transfer agent matters, and investor outreach.</li> <li>Follows regulatory proposals to keep abreast of current developments, particularly those involving the SEC. Assists in the legal analysis of complex topics as they arise.</li> <li>Assists in developing and maintaining policies and procedures to ensure compliance with Sarbanes-Oxley, NYSE regulations, SEC regulations and other regulations applicable to public companies.</li> <li>Assists with matters involving general corporate law, corporate governance, M&amp;A and the corporate secretary function.</li> <li>Provides and supervises legal support for compensation and benefits, including executive and director compensation plans and benefit plans.</li> <li>Provides and supervises others in providing legal support for capital markets activities.<br> Supports warrant administration.</li> <li>Acts as senior attorney counsel on major projects and initiatives.</li> <li>Manages attorneys and other personnel. Develops and mentors direct reports.</li> </ul> <br> </div> <br> <div> <div> <b>Qualifications</b> </div> <ul> <li>Bachelor degree and JD ABA accredited law school</li> <li>15 years experience in securities law and public filings</li> <li>5 years experience with share repurchases, debt/equity issuances and/or M&amp;A</li> <li>2 years experience/exposure to Capital Markets</li> <li>2 years experience/exposure to areas involving benefits and/or compensation (including in the context of securities filings)</li> </ul> </div>Comerica Bank Tower <br> 8:00am - 5:00pm Monday - Friday </div></div>
