<b>Pays </b> <p>Etats-Unis </p> <b>Lieu </b> <p>USA </p> <b>Lieu de travail </b> <p>HOUSTON-LOUISIANA STREET(USA) </p> <b>Domaine </b> <p>Droit des Entreprises </p> <b>Type de contrat </b> <p>CDI </p> <b>Expérience </b> <p>Minimum 3 ans </p> <b>Profil du candidat</b> <ul> <li>Undergraduate degree and J.D. or equivalent law degree.</li> <li> Licensed to practice law in one or more US jurisidictions (Texas or New York preferred).</li> <li> Familiarity with power and natural gas trading activities</li> <li> Some familiarity with regulations and rules covering energy trading (including FERC and CFTC rules and regulations).</li> <li> Familiarity with the legal issues relating to physical commodity trading including commercial law.</li> <li> Experience in negotiating and documenting physical natural gas (NAESB), physical power (EEI) and financial (ISDA) transactions.</li> <li> Good understanding and working knowledge of complex energy trading transactions and related risk implications.</li> <li> Good interpersonal skills with ability to communicate clearly and succinctly.</li> </ul> <b>Activités</b> <ul> <li>Provide transactional support and legal advice to TGPNA’s natural gas, NGL, LNG, dry bulk and power trading business in the US.</li> <li> Review, negotiate and draft bespoke and standardized natural gas, NGL and power trading agreements (such as ISDA, NAESB, EEI and GTCs) together with the contract management team.</li> <li> Work with external counsel to protect TGPNA’s interests in rate cases and other regulatory mattters</li> <li> Prepare, negotiate and review structured transactions across all of TGPNA’s products</li> <li> Assist with the legal aspects of major projects within TGPNA’s business (such as reviewing project contracts and financing documentation) and managing external counsel on such projects.</li> <li> Advise on the TGPNA’ contractual rights in relation to various midstream agreements including pipelines, processing facilities and storage facilities;</li> <li> Drafting and negotiating service agreements with Group affiliates</li> <li> Work with TotalEnergies’ litigation team to manage disputes with counterparties</li> <li> Ensure that provisions in TGPNA’s agreements reflect the TotalEnergies’s HSE policies and Business Code of Conduct</li> </ul> <b>Contexte et environnement</b> <ul> <li>Volatile and heavily regulated U.S. energy trading markets.</li> <li> Legal aspects of the energy trading business are highly sophisticated, complex and technical.</li> <li> Fast moving trading environment involving time critical activities and high risk/rewards from trading operations.</li> <li> Highly competitive business and difficult negotiation environment.</li> <li> TGPNA is responsible for the TotalEnergies’ gas and power trading and marketing activities in North America, including:</li> <ul> <li> purchase of wellhead, pipeline and Shale natural gas produced or owned by the Company or by non-affiliated suppliers;</li> <li> marketing and sales of natural gas supplies to utilities, power plants and other wholesale customers;</li> <li> management of LNG liquefaction terminal capacity, storage capacity and transportation capacity to secure and optimize the Company’s LNG trading activities;</li> <li> wholesale physical and financial natural gas and power trading to optimize the Company’s sale and purchase portfolios, including arbitrage, balancing and hedging transactions;</li> <li> marketing and sales of petcoke and sulfur produced from the Port Arthur Refinery; and - marketing and sales of LPG</li> </ul> </ul> <b>Informations supplémentaires</b> As Legal Counsel - Gas &amp; Power you will be a member of the TotalEnergies legal team that is 100% dedicated to providing legal support to TotalEnergies Gas &amp; Power North America Inc.’s (TGPNA) natural gas and power trading activities in the US. <p></p> <p><b><br> </b></p> <p>About TotalEnergies</p> <p> TotalEnergies is a major energy company, which produces and markets fuels, natural gas and low-carbon electricity.
